From the NT-10K (=excuse for not filing on time):
Takiza LODO (for 1519 Wynkoop St) appears to be off the 'license pending list', so maybe ... just maybe ... they finally got the license(s) they need to open.
However, I haven't had time to look for the site that shows which locations in downtown Denver have been granted licenses.
Re Nixon Restaurant Group filing in Florida (jumping in ...)
The two, initial, 2015 filings to incorporate show that Nixon used Brenda Hamilton's business address.
In 2016 the filing shows that they changed their address to:
15400 W 64TH AVE
UNIT E1A
ARVADA, CO 80007
which now happens to be the (first) Takiza Taco & Tequila Bar place, but it was originally the Arvada Illegal Burger.
On paper Nixon Restaurant Group has always had a 'main office' address somewhere in Florida. NRG in Colorado was always a 'foreign branch'.
Why Nixon did it that way is unknown, since he started his restaurants in Colorado. Illegal Pizza was originally opened somewhere in Colorado (I think in the Denver area; traces of its existence there can be found on the interwebs), but it moved to Lauderhill FL in 2019.
Ref for the Florida NRG filings:

The Florida Illegal Pizza filings are here:
https://search.sunbiz.org/Inquiry/corporationsearch/SearchResultDetail?inquirytype=EntityName&directionType=Initial&searchNameOrder=ILLEGALPIZZALAUDERHILL%20L190000358510&aggregateId=flal-l19000035851-1def7610-f44d-460d-b536-25561b333e68&searchTerm=ILLEGAL%20PIZZA%20LAUDERHILL%2C%20LLC&listNameOrder=ILLEGALPIZZALAUDERHILL%20L190000358510
Yes, and many once popular places in other areas are struggling, down-sizing, or definitely closing.
Just Google search for:
"restaurant chains closing in 2024"
As an example search return:
https://www.eatthis.com/restaurant-chains-struggling-2024/
Applebee's is #5 on the list. It isn't out of business but has closed many restaurants. One interesting thing about it, though, is this bit:
Re "2 burger joints & 2 Kalaka joints, nice."
Yeah, and hopefully (soon): 2 Takiza Taco & Tequila joints (1 now), and 1 Bodega Taco & Margarita Bar.
Illegal Burger Citiset is shown as "Permanently Close" by Google Maps:
https://www.google.com/maps/place/Illegal+Burger+Citiset/[@ userid=104].9391359,20.5z/data=!3m1!5s0x876c7e801ff4c07b:0x51a20364aa7a23b2!4m6!3m5!1s0x876c7f4f0b558ad7:0x110fa0d3c5eff102!8m2!3d39.7055287!4d-104.9389818!16s%2Fg%2F11fflz55mz?authuser=0&entry=ttu
Apparently the name of the 'new place' (likely Bodega Taco and Margarita Bar) hasn't been registered with Google Maps yet.
--
It's too bad that Nixon's Illegal Burger restaurant count is decreasing, as that doesn't look good for his alleged intentions to franchise, but at least he's making good use of those properties, leveraging existing permits and lease agreements to rename/rebrand those locations relatively quickly.
My guess is that it's a lot easier for Nixon to do that outside of downtown Denver, which seems to relish its heaps of red tape, while suburban districts welcome anything that spurs on the restaurant business.
[Nixon has until 6/30/2024 to renew Illegal Pizza Lauderhill, LLC, which is currently a 'foreign entity' in Colorado. It would be great to see him revive that, since it looked like his pizza was popular until the last managers turned it into a Caribbean/kreole place ... although COVID-19 may have helped kill its business.]
Whoa Nelly ... Illegal Burger is down to only TWO locations:
https://www.illegalburger.com/locations
Downtown Denver
Evergreen
I wonder if that means that Nixon is moving ahead (quickly) on converting the Citiset location into that Bodega Taco & Margarita Bar, since he used the Illegal Burger CitiSet LLC as the "registrant" for that tradename:
https://www.bizapedia.com/co/bodega-taco-and-margarita-bar.html
Re the updated Florida state annual report for Nixon Restaurant Group ...
Thanks for the spotting and posting about that. That's one less worry down. (It's probably a coincidence that complaining about it on Sunday resulted in the update today.)
Two things worth noting:
1) Hamilton and Associates Law Group PA is still the listed agent, and
2) the place of business and mailing address have been updated from that shady looks-like-it-was-never-used location to one that is in use in Colorado filings (see below):
Current Principal Place of Business:
Current Mailing Address:
5400 OSCEOLA ST
DENVER, CO 80212

Speaking of Hamilton and Associates, today someone privately pointed out to me that Hamilton and Associates are now sporting a new OTC attribute, namely "OTCQX Sponsor."
You can see that here, as Hamilton and Associates are listed as corporate counsel for FCCN (the attribute comes with a sporty ribbon icon):
https://www.otcmarkets.com/stock/FCCN/profile
You can read about the significance of that here:

57 Google reviews of Takiza Taco & Tequila Bar. Here's the newest as of 2 hrs ago:
A curious Yelp page for non-existent Illegal Burger in Park Hill area of Denver:
https://www.yelp.com/search?find_desc=Illegal+Burger&find_loc=Park+Hill%2C+Denver%2C+CO
It could be a glitch due to auto-generated content, or maybe it's related to food delivery to Park Hill from nearby restaurants.
Re that Fiduciary duty blog article - good stuff in there. Thanks for posting the reference.
Some other important, but somewhat alarming, information is also found in it:
Welcome to ihub and this board with your newly created alias.
Because the company is operating and shows evidence of slowly expanding, at least a few shareholders have "hope" that the company will return to trading.
However, that hope is only substantiated by the fact that the company is operating. Aside from submitting CO state filings (and Denver permit filings), and having active social media accounts for his restaurants, Nixon has made no public statement that he intends to return to trading.
A person who posted here a little while ago said he was an initial investor from years ago, he recently spoke to Nixon in person, and that although Nixon said he would 'make it right' with investors -- which may mean only his initial investors -- Nixon said it would 'take a while.'
Nixon does have a law firm -- Hamilton and Associates Law Group -- in Florida that is the Florida-state registered agent for Nixon Restaurant Group. Its 'leader' is Brenda Hamilton, a fairly well-known anti-stock-fraud crusader. She recently made a blog post:
https://www.securitieslawyer101.com/2024/sec-periodic-reporting-2/
about SEC reporting requirements, which Nixon subjected himself to by going public.
Nixon went private by 'cheating', by simply not filing his reports, which led the SEC to revoke WCVC. Although the SEC revocation says it's to 'protect investors', that really only means that new investors can't buy the stock. It leaves all current investors hanging, and cheats them out of the ability to trade, and also cheats them by keeping them in the dark about the state of the company, so that they have no reasonable basis for deciding whether to keep holding their shares or liquidate them for a tax write-off.
Since Brenda Hamilton seems very white-knightish, on the side of those who are defrauded from stock cheats -- and it's worth pointing out that WCVC as a company suffered from stock manipulators who were caught and sent to jail -- hopefully she is advising Nixon on how to 'uncheat' his shareholders who hold untradeable shares, rather than advising him on how to keep hiding from them, and fend off lawsuits from dissatisfied shareholders. Being on the side of a shareholder defrauder wouldn't look good on Brenda's resume.
FWIW, Nixon's Facebook content generators appears to be cross-posting to a business-content Facebook page (Denver Food Hub):
https://business.facebook.com/hashtag/denverfoodiehub?source=feed_text&epa=HASHTAG
No new news, though.
That's OK. You didn't know because Nixon hasn't filed his 10-Y[awns] either.
Yawns are also revoked.
Agreed ... but Nixon could have been keeping a poker face on, since he cannot let insider information slip, even to people he knows.
A person who says he knows Nixon in person told me that Nixon doesn't read this forum. I was told that NIxon was actually surprised that people were 'still talking about WCVC.' So, if that is true, then writing to the following might be more effective than posting here about our need.
All 3 restaurants have Facebook pages:
https://www.facebook.com/profile.php?id=61556416209999&mibextid=LQQJ4d (Takiza Taco)
https://www.facebook.com/illegalburgerco
https://www.facebook.com/KalakaMexicanKitchen/
I highly recommend posting a note in one or all of them to tell Nixon that we need the documents filed. Those notes would be public.
All three restaurants also have email addresses:
contact@takiza.com
info@illegalburger.com
info@kalakamexicankitchen.com
Sending email to the agent for Nixon Restaurant Group, Hamilton & Associates Law Group, might also help. Use this address:
info@securitieslawyer101.com
Mentioning Brenda Hamilton's recent blog post
https://www.securitieslawyer101.com/2024/sec-periodic-reporting-2/
on the requirement for SEC registered public companies to file 10-K's and 10-Q's might also be helpful, since Nixon knew full well that going public would require him to issue these filings.

Almost all are 5 star.
But yes, Google reviews don't add up to filings.
Takiza Taco on Wynkoop St is in the March 2024 update for Announced Retail/Restaurant Leases:
https://www.downtowndenver.com/wp-content/uploads/HF_Update_March-2024_FINAL.pdf
Arguably it's still a slow grind through the permitting process. That's no way for Denver to keep its LoDo area attractive to potential retail customers.
The F&B lease for Takiza Taco & Tequila Bar at 1519 Wynkoop Street is listed in the February 2024 Downtown Denver Partnership High Frequency Economic Update:
https://www.google.com/url?sa=t&source=web&rct=j&opi=89978449&url=https://www.downtowndenver.com/wp-content/uploads/HF_Update_February-2024_FINAL.pdf&ved=2ahUKEwi3of3Fk6-FAxWbFlkFHZ0cBS8QFnoECCYQAQ&usg=AOvVaw30GCUD9nTT7CIUXijbKZSq
It was also in the previous January 2024 update. I haven't found a link to the March 2024 update yet, but so far it looks like the Wynkoop St location is still going to happen.
Minor Takiza Taco stuff ...
Google review count is up to 42, the vast majority being very positive (5 star, sub-categories in the 4/5-5/5 range).
One review from 15 hrs ago said:
They've begun to add product posts to the Takiza Taco & Tequila Bar Facebook page:

But yes ... it's still revoked.
The Good Neighbor Committee (for Denver's LoDo area):
https://lodona.org/good-neighbor-committee/
still lists Takiza Taco at 1519 Wynkoop St as of the March 2024 report.
It isn't open there yet, and maybe it never will be ... but last year Nixon did go to the trouble of getting his H&R license through them, and the restaurant is listed in red, meaning it (also) has a Good Neighborhood Agreement, which I presume isn't the sort of thing that is handed out lightly.
From that same Hamilton blog post, skipping the SEC:
Ah -- thanks. (Given who my brokerage firm is, and their piss-poor user interface, this is no surprise.)
Re "Ask still increasing"
I hold a very small position in this, and don't have L2, but what does "Ask still increasing" mean? My account says the ASK is $0.0001/1,386,111, which isn't very much these days.
As ridiculous as this question sounds, is L2 showing an increase in the ask above .0001?
3hrs ago Takiza Taco was slammed with a 1-star review for alleged food poisoning:
https://www.google.com/search?q=%22takiza+taco+%26+tequila+bar%22&sca_esv=1fcb60ee6ef69c6a&biw=1546&bih=625&sxsrf=ACQVn09yLiHL9rcF9y3NCrEV9YHYTlUZvg%3A1710367729202&ei=8SPyZcT7C4Sj5NoPtYuDgAs&ved=0ahUKEwiEuLynoPKEAxWEEVkFHbXFALAQ4dUDCBA&uact=5&oq=%22takiza+taco+%26+tequila+bar%22&gs_lp=Egxnd3Mtd2l6LXNlcnAiGyJ0YWtpemEgdGFjbyAmIHRlcXVpbGEgYmFyIjIEEAAYAzIGEAAYFhgeMgsQABiABBiKBRiGAzILEAAYgAQYigUYhgMyCxAAGIAEGIoFGIYDSMsrUMweWMsmcAF4AJABAJgB8AGgAaUIqgEFMS42LjG4AQPIAQD4AQGYAgWgAvUEmAMAiAYBkgcDMC41oAe0Gg&sclient=gws-wiz-serp&dlnr=1&sei=b6zzZfjdD7KIptQP4fmZoAI#dlnr=1&lrd=0x876b8f679d56f845:0x9bdad3d4d70decef,1,,,,
[You have to then sort by "Newest"]
Within the last 10 minutes the "owner" replied, which, I suppose, is a reasonable response time, given that it's via the Google review system. The response says they 'looked into the matter,' verified their food safety protocols, and also received no other complaints.
While "we all ate there and 3 out of 4 of us got sick" is superficial circumstantial evidence, how does one prove a food-poisoning-at-a-restaurant case? Or defend against one, for that matter?
There are 'professional claimants' who target restaurants with false claims. The guy complained he didn't get a refund. If they paid their check, when did they ask for the refund? Did they send Nixon their barf bags as proof?
--
Note: pretty much all other reviews have been 5-star (but a total of 35 reviews isn't many).
It's good to see the "owner" reads his reviews.
Too bad he doesn't read the 'reviews' from his shareholders .. unless his agent does, who allegedly has an ihub account.
Social media links are now on www.takiza.com main page (Facebook & Instagram).
Marketing in slow motion, but it's motion nonetheless. (No recent Facebook or Instragram updates, but Instagram page as 98 followers, for whatever that's worth.)
New Google review for Takiza Taco as of 2hrs ago:
Re 'community action' based on this comment:
Facebook "START ORDER" buttons have been replaced by "MESSAGE" buttons on the Illegal Burger and Kalaka Mexican Kitchen pages:
https://www.facebook.com/illegalburgerco
https://www.facebook.com/KalakaMexicanKitchen/
Those MESSAGE buttons open a dialog box with a low-IQ robot chat engine. In reality, it looks like you ask them simple questions and they superficially promise to get back to you. There's definitely no real or artificial intelligence underneath.
But change tells us someone is rattling around somewhere.
I guess they decided that if they couldn't get those buttons to work tight (=fix the links that they pointed to), then they'd just keep them from working wrong (by getting rid of them).
This is only a guess -- that Facebook page-construction support must have been too hard to work with -- they must all be kids who are so addicted to their own social media feeds that they can't focus on 'hard' software logic issues like changing a URL string -- so Nixon's own I.T. crew opted for the pre-coded "MESSAGE" button instead that didn't require anyone to help them with it.
But, that's no big loss because a) it's better to have nothing broken on the Facebook page and b) they have the link to the websites; but that requires two clicks to order after drooling over food pictures (on the Facebook pages) rather than one click right on the page.
--
The Takiza Facebook page still has a START ORDER button, but it has a MESSAGE button next to it.
It's obvious that Facebook provides some default User Interface options that page-owners can choose to implement, but again, someone has to have the smarts to know what to make those buttons do.
Re "i'm sure Jim received some PPP money?"
Yes. I thought he received two PPP loans, but at the moment I can only find info about one of them:
https://www.marketscreener.com/quote/stock/WEST-COAST-VENTURES-GROUP-120796090/news/WEST-COAST-VENTURES-Management-s-Discussion-and-Analysis-of-Financial-Condition-and-Results-of-Ope-31146324/
The above info also said he received other grants.
The Takiza Facebook page:
https://www.facebook.com/profile.php?id=61556416209999
has implemented a "START ORDER" button that works (jolly good, that), but it points to the old 'lodo'-containing URL:
https://www.takiza.com/online-ordering/lodo/menu
More progress, but sloppy progress. The kids doing the I.T. work need to stay focused. Nixon needs a quality/testing team.
Small change in Takiza online order URL:
https://www.takiza.com/online-ordering/arvada/menu
Big whoop, I know, but they put in "arvada" instead of "lodo".
However, their IT department still has very poor testing metrics, because the URL can literally specify "anything":
https://www.takiza.com/online-ordering/anything/menu
and you get the same menu.
I can only hope that Nixon's food quality control is better than his website's quality control.
A key element is whether Nixon is currently free from dilutive debt.
Re pleading 'special circumstances' to get reinstated - that was a phrase that I came across somewhere that I cannot relocate, although in my first post about it I posted a link (to some securities lawyer's expert opinion; and it wasn't Hamilton). It was the only mention I've ever seen of that idea.
But even a 'special circumstance' reinstatement (with Edgar), if it does exist, still requires Nixon to file is backlog of financials and then keep up.
Maybe an OTC alternative standard filing would be cheaper.
That Q&A was interesting, but still omitted what we want to know, namely, what's it take for a revoked company to return to public trading, and what are the up- and down-sides of going public or staying revoked.
Since Nixon went public in the first place, he shouldn't cry about the bother and expense of being beholden to shareholders to file. He chose to go public, so he should meet his obligations.
Brenda's comments about reverse mergers these days pretty much being the promotion of shells, and the hint about shady lawyers who take that kind of work, are ... interesting. She forgot the say that way back when, when Nixon went public via reverse-merger, it wasn't so nefarious (but Nixon was never a shell).
For ref. only: Here's an S-1 (amendments, actually) from Jan 2024 that includes Brenda Hamilton's company name as legal counsel:

This is just a company "Experts" list:
https://www.nasdaq.com/market-activity/ipos/experts?dealId=1220442-108186 (ref page as legal counsel)
This is only relevant to show that her company is currently servicing clients in this capacity.
Takiza has finally updated their Facebook page just a bit:
https://www.facebook.com/profile.php?id=61556416209999
They only posted several photos of the page's "cover photo," and updated the phone number:
(303) 862-4181
to match the one on the main www.takiza.com site, instead of using a private number that seems to have gone to he-who-refuses-to-file-form-10; but from a marketing standpoint it's an improvement.
I also haven't found a Facebook site-by-name identity for the Takiza Taco page like Illegal Burger and Kalaka M/K use:
https://www.facebook.com/illegalburgerco
https://www.facebook.com/KalakaMexicanKitchen
but some progress is better than no progress.
Nixon's new VIP offer -- is he riding a growing trend? See:
https://apnews.com/article/paid-loyalty-memberships-chuck-echeese-target-walmart-a85e0aa7c6400fa1a7b0cc97de77fc63
There's not an exact parallel between Nixon's restaurants and the businesses in this article, but still ... I think the article title:
A strategic place for the Evergreen Illegal Burger/Kalaka Mexican Kitchen restaurants:
https://www.iexitapp.com/Colorado/I-70/exit/9371
Right around a major highway exit with hotels around. I never noticed this until now.
A couple of weekends ago I drove quite a distance to visit my son in another state and we had to stop overnight both there and back, and chose hotels near highway exits. It makes perfect sense for restaurants to want to be within easy driving (and spotting) distance of those locations.
So even though Nixon has been at that location for a long time, I give him after-the-fact credit for being in that location for his dual restaurants.
