The proceedings are being held at the Superior Court of the State of California, for the County of Orange – Central Justice Center. In March 2023, the presiding judge ordered the case stayed until a valuation could be completed for Pala Diagnostics (“Pala” the company formed as a result of the joint venture) in order to allow for a dissolution of the partnership as requested by both parties. Any remaining issues found to be unresolved through the dissolution process will be addressed once the stay is lifted after dissolution.
On January 10, 2023, a resolution was concluded in the dispute between Likido Ltd. and MAPtech PACKAGING LIMITED (“MAPtech”) whereby Likido shall pay sum of $429,987 in damages, $42,374 in legal costs, and £19,754 as reimbursement for arbitration fees and expenses paid on account by MAPtech. Likido Ltd. shall pay interest at a rate of 8% per annum simple on all sums due pursuant to award, beginning 30 days from the date of the award. The Company has accrued a note payable totaling $509,731 related to the dispute as of March 31, 2023.
SEC Charges Vivera Pharmaceuticals and Its CEO with Offering Fraud

Securities and Exchange Commission v. Vivera Pharmaceuticals, Inc., EFT Global Holdings, Inc. d/b/a Sentar Pharmaceuticals, and Paul P. Edalat, No. 8:22-cv-01792 (C.D. Cal. filed September 30, 2022)
The Securities and Exchange Commission today announced charges against Orange County, California-based Vivera Pharmaceuticals, Inc., its CEO Paul P. Edalat, and another Edalat-controlled entity, Sentar Pharmaceuticals, for an alleged offering fraud that raised approximately $6.6 million from investors.
The SEC's complaint alleges that from May 2018 until June 2020, Vivera raised money from investors through private placements of Vivera stock. As alleged, Vivera claimed to hold an "exclusive global license" to a sublingual drug-delivery technology for the pharmaceutical use of CBD and THC. The SEC further alleges that, among other things, Vivera failed to disclose that Edalat was the controlling shareholder of both Vivera and the ostensible licensor, Sentar, and that there was an ongoing dispute around the validity of Vivera's license due to Sentar's prior conveyance of the same license to a third party. According to the complaint, in December 2018, Vivera filed a lawsuit challenging the third party's claim to the relevant license rights and lost that action in May 2020. The SEC further alleges that Sentar received $4,510,000 in purported licensing fees from Vivera and then transferred significant sums into various accounts controlled by Edalat, from which Edalat made lavish purchases, including down payments on two homes and a $425,000 luxury car.
The SEC's complaint, which was filed in the Central District of California, charges all three defendants with violating the anti-fraud provisions of Sections 17(a)(1) and (3) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rules 10b-5(a) and (c) thereunder. The complaint also charges Vivera and Edalat with violating the anti-fraud provisions of Section 17(a)(2) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5(b) thereunder. The SEC seeks permanent injunctions, disgorgement with prejudgment interest, and civil penalties against all defendants, as well as conduct-based injunctions against Vivera and Edalat, and an officer-and-director bar against Edalat.
The SEC's investigation was conducted by Robert Stillwell and Carol Kim and supervised by Finola H. Manvelian in the Los Angeles Regional Office. The SEC's litigation will be led by Stephen Kam and supervised by Gary Leung.
In July 2021, Dalrada, through its subsidiary Dalrada Health, expanded its presence in medical services sector by establishing Sòlas Rejuvenation + Wellness (“Solas”) which provides science-supported, medically backed services, and creates overall wellness programs that are customized to the unique needs of its clients. Solas will be opening its first health services location in October 2021 where it will provide a myriad of health and wellness treatments and procedures.
In August 2021, Dalrada, through its subsidiary Dalrada Health, entered into a joint venture ("JV") with Vivera Pharmaceuticals, Inc ("Vivera") for a 51% ownership. The JV, Pala Diagnostics, LLC ("Pala") is a CLIA-certified diagnostics lab focused on SARS-CoV-2 testing for now with additional testing capabilities to be introduced. Pursuant to the partnership agreement, Dalrada had an equity commitment of $500,000 of which it achieved during September 2021. Dalrada has invested additional funding to continue the expansion of the SARS-CoV-2 testing while commercial insurance and CARES Act reimbursements process claims. Since fiscal year-end, Pala has conducted over 25,000 tests. Pursuant to the JV, Dalrada shall also issue two hundred and fifty thousand common shares (250,000) to Vivera.

Understanding the Dark Pool
Dark pools emerged in the 1980s when the Securities and Exchange Commission (SEC) allowed brokers to transact large blocks of shares. Electronic trading and an SEC ruling in 2005 that was designed to increase competition and cut transaction costs have stimulated an increase in the number of dark pools.
Dark pools can charge lower fees than exchanges because they are often housed within a large firm and not necessarily a bank.
For example, Bloomberg LP owns the dark pool Bloomberg Tradebook, which is registered with the SEC.
Dark pools were initially mostly used by institutional investors for block trades involving a large number of securities. However, dark pools are no longer used only for large orders. A 2013 report by Celent found that as a result of block orders moving to dark pools, the average order size dropped about 50%, from 430 shares in 2009 to approximately 200 shares in four years.
The primary advantage of dark pool trading is that institutional investors making large trades can do so without exposure while finding buyers and sellers. This prevents heavy price devaluation, which would otherwise occur. If it were public knowledge, for example, that an investment bank was trying to sell 500,000 shares of a security, the security would almost certainly have decreased in value by the time the bank found buyers for all of their shares. Devaluation has become an increasingly likely risk, and electronic trading platforms are causing prices to respond much more quickly to market pressures. If the new data is reported only after the trade has been executed, however, the news has much less of an impact on the market.
Dark Pools and High-Frequency Trading
With the advent of supercomputers capable of executing algorithmic-based programs over the course of just milliseconds, high-frequency trading (HFT) has come to dominate daily trading volume. HFT technology allows institutional traders to execute their orders of multimillion-share blocks ahead of other investors, capitalizing on fractional upticks or downticks in share prices. When subsequent orders are executed, profits are instantly obtained by HFT traders who then close out their positions. This form of legal piracy can occur dozens of times a day, reaping huge gains for HFT traders.
Eventually, HFT became so pervasive that it grew increasingly difficult to execute large trades through a single exchange. Because large HFT orders had to be spread among multiple exchanges, it alerted trading competitors who could then get in front of the order and snatch up the inventory, driving up share prices. All of this occurred within milliseconds of the initial order being placed.
To avoid the transparency of public exchanges and ensure liquidity for large block trades, several of the investment banks established private exchanges, which came to be known as dark pools. For traders with large orders who are unable to place them on the public exchanges, or want to avoid telegraphing their intent, dark pools provide a market of buyers and sellers with the liquidity to execute the trade. As of Feb. 28, 2022, there were 64 dark pools operating in the United States, run mostly by investment banks.
Critiques of Dark Pools
Although considered legal, dark pools are able to operate with little transparency. Those who have denounced HFT as an unfair advantage over other investors have also condemned the lack of transparency in dark pools, which can hide conflicts of interest. Due to complaints, the SEC conducted research and presented their 2015 report, scrutinizing dark pools for illegal front-running when institutional traders place their order in front of a customer’s order to capitalize on the uptick in share prices.
Advocates of dark pools insist they provide essential liquidity, allowing the markets to operate more efficiently.
Examples of Dark Pools
There are several different types of dark pools: broker or dealer-owned exchanges, such as Morgan Stanley's MS Pool and Goldman Sachs' Sigma X; independently owned exchanges offering private trading to their clients; and private exchange markets operated by public exchanges such as the New York Stock Exchange's Euronext. A privately-owned market will have price discovery within their own markets, but a dark pool operated by a broker derives its prices from public exchanges.
Because of their sinister name and lack of transparency, dark pools are often considered by the public to be dubious enterprises. In reality, dark pools are tightly regulated by the SEC.
However, there is a real concern that because of the sheer volume of trades conducted on dark markets, the public values of certain securities are increasingly unreliable or inaccurate. Those who subscribe to thinking there is can show no evidence. Belief w/o facts!!
I trust you realize the illegality of it and the risks for example Blackrock or any institution would undertake in manipulating a stock. If it were so apparent, it would have been uncovered, be reported, fined heavily, lose there investors and scrutinized going forward.
Understanding the Dark Pool
Dark pools emerged in the 1980s when the Securities and Exchange Commission (SEC) allowed brokers to transact large blocks of shares. Electronic trading and an SEC ruling in 2005 that was designed to increase competition and cut transaction costs have stimulated an increase in the number of dark pools.
Dark pools can charge lower fees than exchanges because they are often housed within a large firm and not necessarily a bank.
For example, Bloomberg LP owns the dark pool Bloomberg Tradebook, which is registered with the SEC.
Dark pools were initially mostly used by institutional investors for block trades involving a large number of securities. However, dark pools are no longer used only for large orders. A 2013 report by Celent found that as a result of block orders moving to dark pools, the average order size dropped about 50%, from 430 shares in 2009 to approximately 200 shares in four years.
The primary advantage of dark pool trading is that institutional investors making large trades can do so without exposure while finding buyers and sellers. This prevents heavy price devaluation, which would otherwise occur. If it were public knowledge, for example, that an investment bank was trying to sell 500,000 shares of a security, the security would almost certainly have decreased in value by the time the bank found buyers for all of their shares. Devaluation has become an increasingly likely risk, and electronic trading platforms are causing prices to respond much more quickly to market pressures. If the new data is reported only after the trade has been executed, however, the news has much less of an impact on the market.
Dark Pools and High-Frequency Trading
With the advent of supercomputers capable of executing algorithmic-based programs over the course of just milliseconds, high-frequency trading (HFT) has come to dominate daily trading volume. HFT technology allows institutional traders to execute their orders of multimillion-share blocks ahead of other investors, capitalizing on fractional upticks or downticks in share prices. When subsequent orders are executed, profits are instantly obtained by HFT traders who then close out their positions. This form of legal piracy can occur dozens of times a day, reaping huge gains for HFT traders.
Eventually, HFT became so pervasive that it grew increasingly difficult to execute large trades through a single exchange. Because large HFT orders had to be spread among multiple exchanges, it alerted trading competitors who could then get in front of the order and snatch up the inventory, driving up share prices. All of this occurred within milliseconds of the initial order being placed.
To avoid the transparency of public exchanges and ensure liquidity for large block trades, several of the investment banks established private exchanges, which came to be known as dark pools. For traders with large orders who are unable to place them on the public exchanges, or want to avoid telegraphing their intent, dark pools provide a market of buyers and sellers with the liquidity to execute the trade. As of Feb. 28, 2022, there were 64 dark pools operating in the United States, run mostly by investment banks.
Critiques of Dark Pools
Although considered legal, dark pools are able to operate with little transparency. Those who have denounced HFT as an unfair advantage over other investors have also condemned the lack of transparency in dark pools, which can hide conflicts of interest. Due to complaints, the SEC conducted research and presented their 2015 report, scrutinizing dark pools for illegal front-running when institutional traders place their order in front of a customer’s order to capitalize on the uptick in share prices.
Advocates of dark pools insist they provide essential liquidity, allowing the markets to operate more efficiently.
Examples of Dark Pools
There are several different types of dark pools: broker or dealer-owned exchanges, such as Morgan Stanley's MS Pool and Goldman Sachs' Sigma X; independently owned exchanges offering private trading to their clients; and private exchange markets operated by public exchanges such as the New York Stock Exchange's Euronext. A privately-owned market will have price discovery within their own markets, but a dark pool operated by a broker derives its prices from public exchanges.
Because of their sinister name and lack of transparency, dark pools are often considered by the public to be dubious enterprises. In reality, dark pools are tightly regulated by the SEC.
However, there is a real concern that because of the sheer volume of trades conducted on dark markets, the public values of certain securities are increasingly unreliable or inaccurate. There is also mounting concern that dark pool exchanges provide excellent fodder for predatory high-frequency trading.

I disagree... the "share of posts" you refer to is not abnormal for a stock with significant IP, and which is being accumulated by institutions.
Just be aware that there are sharks in the water and take precautions.

Again - you are responding to something I did not say...
Since your post is not specific enough to back up your statement , I will clarify mine.
The more posts an institution owns is a double edged sword if they loan those shares to AI manipulating hedge funds. They are looking to create a win/win for them and a total bust for retail.
