(Bloomberg) -- Wall Street’s infamous dark pools are getting even darker.
A decade after being engulfed by a controversy that culminated in multiple enforcement actions and a regulator clampdown, these off-exchange trading platforms are touting a way to buy and sell stocks that’s even more opaque.
They’re offering what are dubbed private rooms, gated venues that take the core benefit of a dark pool — the ability to hide big equity deals so they won't impact prices — and add exclusivity, specifying exactly who can partake in any trade.
Created within the dark pools themselves, the rooms are independent from one another and each is invisible to anyone not invited, raising questions about both market transparency and fragmentation. But with more than half of all US stock trading now happening away from public exchanges, they’re in high demand from firms eager to choose whom they do business with, often to help them carry out individual orders more efficiently.
“It’s like shopping when you know exactly the item you want, and who and where you are buying or selling it from, instead of going to Walmart on Black Friday,” says David Cannizzo, the head of electronic trading at Raymond James and Associates. “You’re controlling the terms of engagement.”
Right now, it’s impossible to say how many private rooms exist, or how much activity is moving through them. Companies operating alternative trading systems, or ATS — the formal term for dark pools — say it’s a minority of their volumes at present, since the growth in demand is a relatively new phenomenon.
But they’re seeing rapid adoption by everyone from broker-dealers and market makers to hedge funds and asset managers, so much so that private-room volumes at one major ATS — Stamford, Connecticut-based IntelligentCross — now eclipse the total trading activity at nine rival dark-pool operators.
Dark pools are so-called because the trades they handle happen away from the “lit” public exchange. That helps prevent order details leaking to the broader market and triggering adverse price moves before they can be executed. But there’s still a downside: a pool is open to anyone, and firms inside never know who their counterparty is in any trade. Private rooms can be even more discreet.
“It’s about exercising control, what liquidity a broker wants to interact with to achieve better execution quality,” says Roman Ginis, CEO of Imperative Execution, the parent company of IntelligentCross.
There are myriad reasons why users may opt for private rooms. Take the case of CastleOak Securities, a New York-based minority-run brokerage. The firm wants to trade with similarly minded businesses, so it uses a private room provided by the ATS operator OneChronos.

Carlos Cabana, head of equity sales and trading at CastleOak, dubs the room a “diversity pool,” because the participants are all minority-operated brokerage firms. While in this instance CastleOak doesn’t know specifically who is on the other side of every trade, it knows it will be one of about 10 counterparties who meet certain eligibility criteria related to ownership and investment goals.
“Think of it as an apartment that’s hosting a party, and there’s one purpose for the party with only invited guests,” says Cabana.
Thanks to CastleOak’s increasing use of the diversity pool, OneChronos is now its third most-used trading venue, behind only the New York Stock Exchange and Nasdaq, Cabana says.
Execution Excellence
Private rooms are known by a slew of other names including hosted pools, restricted-access rooms, ATS pools, and custom counterparty groups. They’re gaining popularity in the huge, ultra-fast modern market as a way to help firms avoid losing out against players who may be able to move quicker or who have access to superior information.
For instance, many brokers and market makers are keen to take the other side of retail investor orders. Those small, less volatile trades are generally unlikely to impact prices — so a market maker won’t see an adverse move occur the instant it agrees to fill an order, as might happen with another type of counterparty.
High-Frequency Traders Love Business With Robinhood
Brokers who take orders to private rooms typically expect to fill the order at the midpoint of the national-best-bid and offer, or NBBO (assuming the rule of the room is set up that way, which is usually the case). If for some reason the order is not filled in the room at the midpoint, it can move to the broader ATS where multiple other parties can compete to fill it. And if a broker has bad experiences with a private room, they can change to another in the future, avoiding those counterparties.
“The problem we have is, how do we identify good versus bad liquidity?” says Jatin Suryawanshi, global head of quant strategy at Jefferies, who estimates that 15 in every 100 shares executed by the firm’s algorithms currently move via a room. “In using private rooms, you can prioritize who you want to interact with.”
Private room growth has accelerated amid the migration of stock trading away from public exchanges and as their use has become more common. They emerged at the ATS firm LeveL as far back as 18 years ago. LeveL started by allowing firms to match their own orders, in what's known as internalization. That expanded to other forms of segmentation, including bi-lateral and multi-lateral agreements, where one party agrees to trade with another, or multiple parties agree to only interact with each other, within the same ATS.
Following requests from its own clients, IntelligentCross started offering its version of private rooms about a year-and-a-half ago, and OneChronos joined the party last year.
Private rooms are not generally needed by big banks or brokers who have the resources to create their own ATS or what are called single-dealer platforms. That’s another breed of off-exchange trading venue where the operator is always the counterparty to any trade.
But for smaller players, it's too expensive and cumbersome to build and manage an ATS or SDP, meet the associated regulatory reporting requirements and set up the necessary connections. Arranging a private room at an established ATS is a solution.
“There are various factors of why a firm would want to outsource this activity than keep it in house,” says Steve Miele, CEO of Kezar Markets, the parent of LeveL. “It could be a cost, an overhead they don’t necessarily have to take on if we can build it, then scale it” using the existing network, he says. “We lower the barrier to entry.”
At IntelligentCross, the majority of rooms currently offered serve institutional brokers that don’t have capacity to conduct similar activities internally. Jefferies trades in a private room provided by the firm where it interacts with seven other brokers who don’t have their own ATS, but have institutional orders, according to Suryawanshi.
“These are always created at the request of a subscriber, who is the host that invites others to be guests in their book,” says Ginis at Imperative Execution.
Dark Disclosure
Not every ATS is rushing to embrace private rooms. New York-based PureStream offers “pools” that operate like rooms, but they are disclosed to all subscribers if they are created, and anyone can join. In essence, the room is open to all.
So far no one has asked to set up a pool at PureStream, so there is zero volume in so-called sub-pools, according to CEO Armando Diaz. He says offering a private room that isn’t open to all subscribers raises questions about the regulation. “The more the host controls the room, the more they are operating an ATS, and that opens up regulatory risk,” he says.
Perhaps the biggest criticism of private rooms is that they create phantom liquidity, because transactions taking place inside a room are simply lumped in with the total activity reported by its dark pool parent. That creates a misleading picture for anyone trying to gauge market depth, since reported trading volumes include activity not available to those outside the room.
ATS are regulated trading venues, overseen by the Securities and Exchange Commission, which in 2018 enhanced its supervision of such venues by imposing new disclosure requirements. Each dark pool must now file a form, ATS-N, which gives an overview about the specific trading mechanisms on its platform.
These publicly available forms go into various details, including whether private rooms are available. But they don’t say how many exist or who is in them, and the varying language and levels of disclosure used mean it can sometimes be difficult to determine if an ATS is even hosting any rooms.
Wall Street Dark Pools to Come Out of Shadows Thanks to SEC
“There are no rules to force ATS to break out the identity of single-dealer rooms or their volume,” Larry Tabb, head of market structure at Bloomberg Intelligence, wrote in a May note. The Financial Industry Regulatory Authority “does a good job of ATS volume reporting on a post-execution basis. Yet there are no rules to aid analysts or users looking to break down the percentage of ATS volume executed in the open pool vs. the private room, or the volume executed using segmentation strategies,” he wrote.

Dark pools are no strangers to transparency worries. Their opacity provoked extensive media coverage and regulatory scrutiny about a decade ago amid speculation they gave high-frequency firms advantages against other investors — attention partly prompted by the bestselling book Flash Boys.
Representatives for both Finra and the SEC declined to comment.
‘Growth Mode’
For their users, private rooms are a handy tool, but still one of a set. Hosted pools represent a single-digit percentage of IntelligentCross’s overall volumes for now — an average of about 5.4% last year — because they’re so new, according to Ginis. “It will take brokers some time to optimize for this,” he says.
CEO of OneChronos Capital Markets Vlad Khandros says its rooms represent less than 5% of volume at present as “it’s newer for us, so it’s still in growth mode.” But demand is strong. “We’ve seen increased interest from both retail and institutional brokers,” Khandros says. “The focus on execution quality will continue to grow.”
LeveL declined to disclose the number of rooms it operates or how much activity takes place in them, with Miele saying the absence of industry-wide criteria for categorizing rooms means it could be “misleading to quantify.”
Mark Gurliacci, senior vice president and senior quantitative trader at AllianceBernstein, reckons up to 75% of the firm’s activity is now happening off-exchange, including in private rooms. While the latter is a small slice of their trading at present, he thinks it’s set to grow.
“Many firms are setting up private rooms these days,” says Gurliacci, who used to work for the NYSE. “They are innovative, and here to stay. There is more going on there than most people know.”

All, I want to share a couple tidbits from a conversation yesterday between a high level LWLG executive and a shareholder. I’m not sure this person will be happy I am posting this, but at the same time perhaps they want this message out. Ask for forgiveness, not permission. If the bridge is now burned, so be it. We understand. Everyone please know that this is not an attempt to “pump”. Many shareholders are confused and worried. Perhaps this will help. My friend and I understand the implications to this executive should these not be true statements.
Do not make investment decisions based on hearsay from an ‘anonymous internet stranger’.
The quotes are from the LWLG executive and should be nearly exact to what was said. While the conversation was not recorded, detailed notes were taken and the messages should be very close, if not exactly what was said.
LWLG is “close on deals”. They have "calls all week discussing the deals". Just before the conversation, the executive was on a call with a "potential counterparty to a deal".
This executive acknowledged the only thing that will move the stock price at this point is closing deals.
"I am more than confident we’ll close on probably more than one Tier 1 deal this year."
Within the next month, engineering teams from three separate companies will be visiting LWLG’s facility.
When asked if the T1 announcements will have a name attached, the response was that they "would love to be able to". Based on the NDA’s, they "can’t use a counterparty’s name without its permission". “The argument they make is that they are trying to gain a competitive advantage.”
When asked directly if they are working with NVIDIA the response was, “Let’s put it this way. Anyone not trying to work with NVIDIA is a fool and I’m no fool. What’s the old saying? I can neither confirm nor deny that we are working with NVIDIA.”
“We’re working with the biggest transceiver companies in the world.”
“Amazon wants warrants from companies to sell to them. They eat their young. I said that to a guy during a meeting – you eat your young. He just smirked.”
I will not disclose the identity of this person. Do not ask. Do not assume.
Xena, Another aspect of 'Stock Amore' (falling in love with a stock) is that both tech and biotechs have such cool science, it's almost impossible to not become swept up by it. Back in my bio days we used to call it 'Blinded by the Science', after that 1980's song.
Sounds funny, but it isn't since alot of people put a ton of their money into these ultra cool sounding cutting edge tech stocks, and just hang on forever, until it's a penny, sub-penny. Following the stock becomes a key part of their life. I was on one bio board for years and years, and we all followed this same doomed stock. We came over together from Raging Bull to I-Hub, and the board became our main social activity. We all wanted to get rich from the stock, but stayed on even as the stock's prospects dimmed. The board became almost like a religion, with the 'true believers', the 'heretics', etc.
Anyway, I've seen it and lived it, so don't end up like so many of us did. I survived, but learned to never take large positions in a small or micro cap stock. My limit now is $1000 per stock, that's it. This way it stays a fun hobby, not a road to the poorhouse. Something to think about anyway..

I'm pretty sure the contracts are in place, they are just under NDA until the customer is ready to roll out the product.
Lebby's replacement has impeccable credentials and he signed on as an employee six monts ago.
AI is now in control - true market sentiment is a minor factor. No reason to "steer clear"... the whole market is being AI manipulated. You are in or you are out of the market as a whole.
Xena, If the stock is as manipulated as you say, that would be a red flag for investors to steer clear. Plenty of great stocks out there, so be careful not to 'fall in love' with any stock. I've seen it happen plenty of times, usually with tech and bio stocks, and did it myself a number of times, so can spot all the telltale signs.

True investors - the long timers understand this. The "market reaction" is AI orchestrated, as was the walk down from $20. Just watch..
The pump to $20 was what it took to dislodge enough shares for institutions to get a toehold. They then loaned those shares to the AI shorting crew and walked it down when the market as a whole "crashed".
The entire market was a P&D during COVID, allowing bored new money to enter. Then AI crashed it and stole that money.
Xena, Thanks. I assume his retirement was not previously made known to the public, so to investors the news came 'out of the blue'? That seems unusual, and the market reaction suggests it was a shock, and not welcome news to investors.
Events like this are one reason why my stock allocation is now in the S+P 500. Fewer things that can go wrong, although still plenty of landmines.

Xena, So Lebby has been ousted (fired)? Just curious if the BOD may have done this in response to pressure from an activist investor (a Carl Icahn type). Was there an expectation of Lebby's removal for some time, or did it come out of the blue? Thanks for any insights.
I haven't been following the LWLG saga, but did trade it a few times back in the 2021 run up. When entrenched management is removed like this sometimes the stock will rally strong, but in LWLG's case the market response looks extremely negative, at least so far.
Fwiw, LWLG seemed to have very interesting science, but has been extremely slow in generating sales / revenues, so it's had the reputation of being a 'perpetual start-up', or that's been the impression anyway.

In high school I studied a lot of that material.. I wanted to be and Egyptologist. I also studied the Bible because I was on the church "quiz team" (Nazarene, fundamentalist). This is probably the reason I am Spiritual but not religious.
What are referring to when you say "traditional religion" ???
From my perspective ... "traditional religion" is media controlled dogma. (reading and writing around 12th century or before can be defined as "media controlled).
Xena, In Atwill's narrative, Jesus was merely a literary creation by the Romans for their broader purpose --> a fabricated story to chill out Judea. Unfortunately for us today, it reduces Christianity to a fairly tale, and weakens the underpinings of Western Civ. With a break down of traditional family, religion, gender roles, society is then adrift and much easier to control and dominate. That's why the NWO crowd loved 'Caesar's Messiah'.

Just a brief synopsis, but the 'Caesar's Messiah' narrative goes something like this --->
In the 1st Cent AD the Romans had been having so much trouble with their province in Judea (3 Jewish Wars, endless rebellions), that they had to keep numerous legions there just to keep a lid on things. The extreme Zealot faction in particular was an endless source of problems (similar to the Neocons of recent decades). The Roman Flavian rulers (Vespasian, Titus, Domitian) came up with an idea to 'chill out' the inhabitants of Judea so the Romans could hopefully move their legions to other areas of the empire where they were needed.
The scheme they came up with was designed with the help of Josephus, the Jewish 'court historian' to the Romans, who was an expert scholar on Jewish religious history. The narrative they came up with sounds ridiculous, and Josephus undoubtedly knew it wouldn't work in pacifying Judea, but went along with it anyway. Christianity already existed, but was still a relatively minor religion, but compared to Judaism it was extremely pacific and soft, stressing love, forgiveness, etc. So a perfect replacement for the aggressive and war-like Judaism. So the idea was to codify a narrative of Christianity as being the long awaited Messiah, and hope the folks in Judea would buy into it and thus be pacified.
Not leaving well enough alone, the Flavian rulers of Rome also wanted to add elements to the story that would indicate that Emperer Titus himself was the Messiah (!) This would never fool anybody in Judea, but Josephus dutifully wrote a narrative that exactly fit with the old Jewish Messianic details, with Titus in the role of their awaited Messiah.
Anyway, it didn't work, and Titus had to launch a full scale war against Judea, destroyed their Temple, and the Jews were once more scattered to the wind all throughout the ancient world. However, over the subsequent centuries Rome was running into many problems, and realized that the chilled out version of Christianity they had developed ('pay unto Caesar, love thy enemies, etc) was a perfect tool to not only control their own aging empire, but to also provide cohesion to the otherwise muti-religion vast empire. Ultimately Constantine adopted Christianity as the state religion, it became the basis for the Byzantine Empire, and then the later Holy Roman Empire, and up to today.
The above is just a brief summary, but Atwill published 'Caesar's Messiah' and it was an instant hit, especially with the Deep State anti religion ghouls, who are constantly trying to find ways to weaken and discredit traditional religion. Seeing this, I assumed that Atwill must be a paid Deep State historian, but looking at his later work suggests the opposite. But either way, his work has clearly been used by the NWO ghouls to trash traditional Christianity, so most regular religious groups hate 'Caesar's Messiah' and see it as blasphemy, etc.
But listening to Atwill himself discussing the historical details he presents in Caesar's Messiah, he is clearly on to something. The evidence is massive. Same with his later work on the shared origins of Zionism and Nazism, and his revelations on the true origins of the 1960s counterculture and drug movement. He's also written a 'alternate' type book about Shakespeare (was a woman), though I haven't examined it fully yet.

But I'd say religion's main role is more practical ---> to provide the behavioral rules required for civilization itself to exist. More specifically, it provides humans with the missing behavioral inhibitors against deadly intra-species violence. Predator species like lions and tigers have built in instinctive inhibitors to ensure their dominance rituals don't end up in death. Since humans don't have deadly teeth or claws, we also lack this instinctive inhibitor, so it has to come from external sources like religion, law, etc. Without this inhibition, a species would destroy itself during its mating rituals, territorial disputes, etc. These 'dominance rituals' are hard wired into all living things as a quality control mechanism to ensure only the fittest survive and proliferate. Zoologist Desmond Morris has discussed this in his book 'The Naked Ape'.

So the US needs to do the same, and this could be accomplished via the IMF and World Bank, which historically have been funded by the US and Europe. These institutions are ostensibly there for that purpose - to facilitate development in the emerging countries, but unfortunately over the years became instruments for asset stripping and looting by the US, as outlined by John Perkins in his famous book 'Confessions of an Economic Hitman'.
Anyway, this is the logical way for the US to turn around the disastrous rise of BRICS. We have to lure these countries back with the carrot, and there isn't much time left to do it. One reason the US has been so reluctant is that China and Russia are building nuclear power plants in numerous emerging countries, which is a huge draw for them to join BRICS.
