Saluki, I'm a little confused by this: "Nova shares 50M outstanding, 22M issued, and 7.7M float." If they're outstanding, they're issued. Aren't they?

saluki - thanks for the summary. FWIW - regarding the first point - BioShield for a long time stopped making the product and everything is and has been subcontracted to ITC. Which if you read past posts by Utoh - you would have noticed that that relationship is a cash only one now. In other words for ITC to make the stuff they want to be paid up front. I surmise in the business world that causes a head ache or two.

Thanks again

Saluki, I don't know where you get the 4.4 million shares of HNWS owned by IBCL. According to the March 19, 2003 8K of HNWS regarding its reverse merger with NOVA, IBCL is supposed to own 8.845 million shares of NOVA...

PRINCIPAL SHAREHOLDERS

The following table sets forth certain information regarding the
ownership of our common stock as of the completion of the acquisition of Nova
for each person known by us to own beneficially 5% or more of the outstanding
common shares of HNS. Beneficial ownership is described in the accompanying
disclosure. At the present time, no new executive slate of officers has been
selected.
NUMBER OF SHARES PERCENTAGE
NAME OF BENEFICIAL OWNER BENEFICIALLY OWNED OF TOTAL SHARES
------------------------ ------------------ ---------------
Dr. Kevin Smith 900,000 1.8%
Timothy C. Moses 900,000 1.8%
Atlanta Capital Fund 22,304,904 44.6%
International Biochemical 8,845,000 17.7%

The percentages are based on 50,000,000 common shares outstanding as of the
closing of the acquisition.

This is a done deal. The merger is accomplished! IBCL should own that 8.845mil shares.

Did you ask her about the patent/licensing ownership?

I'm still not sure of IBCL's true role in this whole merger
thing. If they don't even manufacture the product anymore
and they've sold their patent rights, etc. to Nova, what is
really left for them to do with respect to Nova/HNWS?

What makes IBCL worth keeping for Tim & Co. (as in Tim's family)?
