It’s not out of grasp but keep in mind that is years hell even decades away from happening. They would need multiple new facilities to support that. There are a lot of dilution and rs that can happen in that time. Not bashing man but I lost a lot in this stock so take it for what you want. I didn’t listen to the people who said it’s a dilution machine and lost big. Learned hard always take profits don’t hold out for pipe dreams that “may” come. All imo of course.

So if there was a RM whats the likely timeframe we might hear something about that?

Has there been any news about the asset purchases from LCY? I haven't seen anything you would think we would see something about that from them. This whole deal is so odd, 4.3 mil lowball offer accepted and the creditors were ok with that. makes you go hmmmm...

So is the latest theory that they got all the assets for 4.3 mil. With some back room deal to do an RM pay off the 60 mil debt in full and uplist the stock? Sounds logical lol still holding BIOAQ!!!

It is really hard to believe that 4.3 mil and that's that. Im just like screw it I know nothings gonna happen when I'm at 0 and my shares are cancelled other than that its all background noise.

I don’t understand why they don’t just say shareholders get 0 and there’s no talks of RM. Why won’t they just end all the questions and say it if that’s the case. So stupid IMO end the endless emails and phone calls from investors and say it if that’s how it is. Seems like so much secrecy I mean you’d think if it was a RM we would have found out by now or am I wrong?

IMO if this is any kind of a rm then we will hear before the 26th I feel because there are filings and things they can’t hide. Now since we are a week and a half away and haven’t seen anything definitive. I think we will most likely get paid per share on a buyout. They could pay us a dollar per share and sell back into the market for two dollars or more per share lol pretty smart maybe not feasible. Or we may not get a damn thing either way Hell of a ride boys!!!

Well they could purchase the AS and sell back into the market diluting after a ticker change and basically finance this whole buy out. 130 mil AS x couple bucks per share = BioAmber purchase basically free with nols intact. Or am I wrong? So they could purchase all assets including AS for say 250 mil and sell off the AS after the deal closes and boom free deal so to speak. All legal as far as I know. IMO of course and I don’t feel this is a far fetched idea.

Yep and also the last possible RM scenario they purchased the AS shares as part of the deal and dilute after the ticker change totally reimbursing their entire buyout. That I would think is all legal as well but I’m no expert. Only issue with that scenario is then why redact the numbers, only reason IMO is to buy shares at a low pps.

The way I see it is a RM makes the most sense scoop up all the shares you can on the open market for under .02 and sell back for multiple dollars essentially funding your entire purchase. They could accumulate say 100,000,000 shares and sell back into the market for 2$ per share minimum. Is it illegal most likely but does anyone care what a Q stock on the OTC does I doubt it. In comparison to some of the crap I’ve seen these OTC ceos do it’s rather mild. All imo of course. Same scenario could work for a buyout also. And think about it why is the only redacted info the one piece that could raise PPS. The excuse they gave for redacting it is BS IMO, it just buys them time to accumulate shares while suppressing the pps.

Yeah I would love that for sure if we keep all shares I saw a post someone was asking about them doing an RS possibly if they do a RM. I’m like well they could but shareholders would never approve it for one and two they would need majority voting power to pass something like that. I also feel an RS is totally not needed once an RM is confirmed over a dollar we go for sure. IMO of course. Also I believe they still have another 130 mil shares in the AS to dilute with and that would not have a huge impact on pps either IMO.

I think Mitsui is confused and wants all the information I believe it was worded that they would watch the remainder of the Canadian sale and see how it turns out basically. I think they want the info released but also hard to believe they were not privy to that information also. So much weird stuff with this situation that just makes no sense. That’s not the market value they had the plant appraisal done by a third party they valued the plant over 70 mil Canadian I believe and I think like 25 mil straight liquidation chop shop style. All in the first monitors report I believe, those values were under the bankruptcy conditions as is also. Those are the market values under this situation as done by a third party unbiased appraisal company who’s business is to appraise such assets.

They use the excuse they want the deal sealed because if it fell through having the amount out here would be detrimental to the sales process again. I don’t believe that, the two strategic bidders were the highest bids anyway so what’s it gonna make the others bid higher? Kidding but anyway my point is that they wouldn’t have to keep the common shares issue hush hush just the bid amount so they could still release the fate of the commons while keeping the amount sealed. Unless the commons are part of the deal then they would not want that news out as it would significantly raise the pps IMO. Just news of any benefit to commons would raise this pps drastically. The other thought I have is I read the joint venture has to create a company based in Canada to get the NOLS which I believe they have already stated they are doing or have done. So why create a Canadian based company they could of ran this plant from anywhere in the world why create a Canadian based company unless you want the NOLS which are tied to the common shares. I feel we will benefit from the deal IMO.

One thing I noticed is they had their cookie cutter legal jargon about no residual value left over for equity holders or whatever, but didn’t say that on the latest report. It said the deal was good for all of the companies stakeholders, I believe that’s the shareholders not creditors like some try to say it’s speaking of. If it meant creditors they would just refer to them as creditors like they do everywhere else in the report. It specifically said debtor aka bio amber stakeholders and no mention of no residual value comment. If commoners were wiped out why not just say that unless the only reason they didn’t say it is due to the fact that it’s not true.

Question about shares transferred to new company. If or when this happens do we transfer based on the current share price compared to the new share price? I assume if LCY shares open up at a higher pps our shares would be greatly reduced, or could part of the negotiation been an agreed upon share transfer amount for example the monitors fair value 1.60 or whatever it was pps? Basically just wondering when this is all said and done are we going to retain the same account value?

Guess it’s a good thing this is a good deal for all stakeholders then even the ones at the bottom like us.

I’d say they want to distance themselves from that name completely imo. So use the existing share structure keep he NOLS change the name and ticker and boom back up and running.

So Sept 27 is the closing of the case period in Canada, but the sale closes October 26? Or the October 26 date got rejected by the judge and moved to Sept 27?

Lost a ton in another play here I won't name but it was right around the same amount even higher as you and my savings. This one I took a small position in hoping it pays out but it seems most have lost faith in it. Not to make you feel better but your not alone man. BIOAQ docs are not clear cut and I truly feel something was planned for commons so its just a wait and see.
