Right. It goes even further. Assets owned and leases held by NWBO for the benefit of Advent will be transferred to Advent via sale of assets at net book value and the lease assigned at the time of a buyout.

disagree with everything what you are saying. Why would a BP have Advent fire everyone and then rehire somewhere else and built its own CDMO etc The most logic steps for a BP when acquiring NWBO is not to waste time and a lot of money in setting up a new Contract Manufacturer for DCVAX. Advent knows how to produce DCVAX L time is money so logic dictates Advent will be bought to not disturb DCVAX production.

I think the issue as Bio has stated is that someone acquiring NWBO would inherit the contract with Advent. They would not need to spend any significant sum to obtain the services that Advent would perform for NWBO. Advent just isn't worth much by itself. Perhaps they would purchase Advent for a small price just for convenience sake, but wouldn't need to. This is a really simple issue. By acquiring NWBO the purchaser would also acquire the contract with Advent, the factory, Flaskworks, all the other equipment etc.

I agree with your take. They will purchase both. Time is money. Also, access to trained personnel is going to be key early on for any company that is acquiring new technology or getting into a space where they have limited experience.

I agree with your theory that a BP buying the whole will not waste time and money. They may expand the manufacturing but keep what they have essential employees

It would be a waste of money to buy another unrelated contract services company. I did not say they would fire Advent, I said they have many options. But one reason would be redundancy. Many large companies will not need an outside contractor when they buy a company with its own factory. In fact eventually they might even sell Sawston, though we will have to see. It depends how far along the company is in converting it to a full fledged state of the art cell manufacturing center, but just a place where they have individual Flaskworks machines.

What I said is basic business at a high level. It’s how deals are done.
