Yes, NWBO received all Advent fixed assets at time of close.
Yes, NWBO received various other assets acquired by NWBO over the years.

It does not say NWBO acquired all of what Advent had purchased over the years. Nor did it preclude Advent from paying Toucan (or Toucan companies) $40M or more in advance of the deal.
