They aren't late on financials. So it isn't that. I sent an email to otcmarkets doubt I get a reply. But the company doesn't file 10Q, 8k's etc. They are a Pinksheet company NOT an SEC Filer, SO, they can't be Delinquent. They aren't late on financials as per otc rules.
And as for calling people out on their obvious bias. I was deleted. So I won't upset the master again. Bit, just read through the Twitter feed. And someone posted that MSTO sold 215m shares for $21,500. Dollars. I read through the REG A it actually was $215k Dollars to the company. (NOT 21,500. ) Which a poster on Twitter pointed out that's why I researched it... But you can understand when a person in charge of monitoring information as per its factuality post the wrong information, in a negative light. Well imagine a short talking positively about a company, or a long talking negatively about a company ??.
So this person should correct their post should they not?

I didn't see anything filed, does OTCMARKETS know something we don't? They would need to be an SEC Filer to uplist to OTCQB. Even tho there are other requirements, becoming an SEC Filer is definitely one of the most important.

Dr.B I get where your coming from. But I also DO NOT want this CEO to give a road map to those with deeper pockets to become our competitors.. Make NO DOUBT, if I was a millionaire a billionaire and I seen this little company turning $1.85m into $4.25 and with the prospect of making even more. I would take their business model, hire their general contractor, with a LARGE escrow account to place all my builds ahead of the little CEO trying to raise capital in the zero , zero , zeroes.. So I'm glad the CEO doesn't give it all away.. bottom line, he has to execute his sales, keep financials AUDITED, and protect this little strategy he has for as long as he can. Make NO doubt , those with deeper pockets will crush our CEO and us shareholders. We already have enough against us with the pathetic shorting . AND YES IM CALLING IT! IT HAS TO BE! Time and time again when Volume comes into this stock,the Outstanding either doesn't change or changes slightly.
I believe the company had like 55m Outstanding when they took over.
Up to the recent REG A issuance tge Outstanding was like 728m. That's like 670m shares issued from 2019 to 2022. Approximately. 225m shares annually. From what ive seen, thsts Not to bad for a penny stock, most would dilute that a quarter....We have all seen them, with 10, 15, 20 billion authorized and 3, 5 and 10 billion issued and outstanding. And market caps in the 30m to 60m range with absolutely nothing but a business plan.
Look at the Volume.. It would mean everyone who owned stock, sold it, NOONE has held their position, and we know 32m is restricted, and 50 something mill was from 10 years ago.Maybe they dumped maybe they didn't. but my take is if they could of sold,, they did....
I believe those shares,moat were shorted, a company that was trading on average, I believe was like 3, 4, 5 million shares a day average may have been lower. To trade 455m shares with a 565m Float which could be argued, but even worst case float of full DTC 820M shares that's over 50% of float and PPS GOES NOWHERE?????

Unless the shares are shorted, falsely increasing the float, diluting the market with fictitious shares which is what you can see happen to so many companies. Some of the major MMs get fined for it. But damn, if I could naked short $100m and never have to cover, or only after the pps has crashed to .00000 nothing,, because I falsely diluted the company and prevented them from raising the capital needed to execute their business plan... Well hell why wouldn't I , specially if I've gotten away with it before...

Looks like "JOINT VENTURE" agreement was inked on April 04 2021, but Josh may have kept the company name off certain documents until he was sure the company was protected against any liabilities and the JV Partner could deliver,, just my thoughts, may be for other reasons, but that's just my opinion.
Not putting the company name on documents until the "SALE & PROFIT" was a reality was "SMART" in my thoughts. Obviously it all depends on how the agreement was drafted. I'm sure they had lawyers to deal with that, well, at least I hope they had attorneys to deal with that.

So my understanding is, correct me if I'm wrong. Is shares issued in the past, would go under O/S Share count, when the recipient of those shares sells them? They then go into the DTC count? Or if a broker shorts the shares to a recipient, those shares go into DTC?? or if restricted shares get the legend removed and are sold in the market?

Dr.B I don't get this issue you keep raising about the CEO not living near the property that being built. So are you saying if he decides to build multiple properties across the U.S. he has to live in each area? It kind of seems irrelevant, especially in this day and age, with zoom conference calls etc. Maybe I'm missing something, bit people rum billion dollar companies that are worldwide .

Looks like MMs trying to shake out weak hands, Stacked the 32s w 6 MMs. One thing they are betting on, is this stock typically doesn't have long term holders. Just traders, flippers which the MMs have played it well. Hopefully the company gets stronger and longer investors that will hold their positions. Only time will tell. We will see if Rolling Dunes closes in the beginning of May and if they break ground on the other 2 locations in April, and if they actually start acquiring additional properties with REG A funds.. A lot of IF's but if in May they have broken ground, Closed the sale, acquired more properties. I would then say they should start getting the type of investors they need..

Well I ain't got $100k to buy 25k gallons of gas at one time or the place to store it. I figured the cheaper they buy it, the cheaper I can get it in the market. Even if it more than they paid.. I believe this company. should have a 40m market cap. as is. If dilution keeps happening and assets aren't being added. I'll calculate shares outstanding by my 40m market cap. The profit on that property was insane. To make $2.4m Profit in a business, you usually have to have $10m plus in sales.

I have spoken with Josh twice. His Ph # is listed and he answered when I have called. He seems pretty confident in the Real Estate side of things. He stated that getting parts for the Automotive side has proven to be very difficult with backorders that were originally told would be a couple weeks have turned into months and now some of them He said don't even know when that part will be available. He stated he was going to focus efforts on the Real Estate where the returns are substantial. I asked about the REG A and he stated he wanted to raise funds for land Acquisitions. That the property values were increasing so fast, that the lots that were already purchased are worth more than 100k than they were acquired for. So he wanted to acquire as many properties as soon as possible.
He said more but im just paraphrasing. I would suggest anyone seriously interested in the company call him.. if your just a trader probably not. I've been in this for a while, and primarily for the Real Estate.. I like classic cars but it's a tough industry. The fact he can take $1.85m turn it into $4.25 , those were the #s he stated on the call. a $2.4Million Dollar Profit
I agreed with him, that efforts would be best spent on the Real Estate.
Also Dr.B. , I asked him about the management of the build and if him not being there locally had any effect on things. He said absolutely not, that he has a long term relationship with the General Contractor and things have been on Point as of now.

This company should be able to support a PPS 10 Times its current price. I see junk out there with 20, 30 40 and higher Market Caps. With nothing but a business plan and hype.. I don't get it. But I hope Mr T. Gets this thing where he can file an S1 pay MSTO shareholders a dividend IN SBQ for an UPLIST to NASDAQ!! That would be something.
I just think the OTC doesn't understand a real estate, hard asset company..

Yes. that sell off was crazy, but in glad, was another great opportunity.
I've thought this could easily justify a 10m to 15m Market Cap conservative. Maybe 25m to 30m.
at .01 it's only 7.28m Market Cap.
Another thing about authorized in the OTC many times lenders want 4 to 5 times and sometimes more available. So if you had a cinereo where 100m shares would cover the cinereo, you have to have at least 400m to 500m available on your authorized. So 3 or 4 cinereo's like that and you have to have 2 billion in authorized. Not saying that's the situation here. I'm saying that's why a lot of companies have 10s of billions authorized. So this little 3b A/S doesn't scare me. The REG A is a good thing, money goes directly to the company for growth,, not a debt holder and the CEO has more discretion on the discount.
I believe we will be right back at .004 soon enough..

I've, been waiting to comment on everything. I don't always like what MrT does but im invested in this company, so I'm gunna give him the benefit. I've noticed back in Jan. in a Press Release the company put out, one of their goal was to file a Reg A. in 2021. and they did. Don't know why it surprised everyone, they said they were going to do it.. Josh has finally secured "construction loans",
if the Reg A, which again just my opinion, is used for Land Acquisitions , well than it isn't so bad. The company press releases stated the land Acquisitions cost range from $365k (Navarre Property)
(Santa Rosa) for $400k. and build cost of $1.4m . So all in at $1.8m
Selling for, well, ok "listed" for $4.25m. Appraised at $3.3m.
Anyone in Real Estate knows appraisal prices are usually low cause it's what banks use to judge loans.
Even if they sell at $3.3m. That $1.5m profit per property.
So if he uses Reg A to acquire land.
for every $400k in land purchases, if that's his requirement for the construction loan, that would mean for every $400k, he adds $3,3m in appraised asset value. Thats 8 times. Now these are rough numbers, but not far off. I went his high price on land purchase and his appraised price on sale. If it sells for $4m or more, well even better.
I really hope thats the plan, I know he mentioned bringing in qualified bod members, no real reason to do that if he can't raise the funds needed to execute the business plan, so I don't see the funding a bad thing, just another means to execute plan. Yes dilutive, but not toxic. Like I always say, I guess we will see.

Man! I knew it! MMs did everything they could to try and shakeout/ steal/ scare investors out of their shares. I believe that was their last ditch effort to get shares.

TF, I agree. I believe Mr T has done what he has had to to get the company positioned for growth.
I know for a fact, you have to have 2 years minimum of operations before you can get a corporate loan, and they still want it personally backed.
So, he acquired a dormant OTC (8 Years or so dormant I believe) no operations, filings etc.
Cleaned it up, got all filings filed. got current with OTC Markets. Addressed Shell issue.
Hired Malone Bailey to audit the company. NOT cheap, and they (m&b) are VERY reputable. This is a pretty clear sign its not a scam play, 1st off, why spend all that extra money? why take the risk the auditors would find issues.
A CEO who is just lining his pockets doesn't do that.
I always go back to the Pandemic.

But once the government told people they don't have to pay rent. And landlords cannot evict, indefinitely.
Well who the f@#$ would invest in that. I believe they didn't think the Verano Palace was gunna do well either, who the hell was traveling or going on vacation? But like they stated, families seemed to want to get together and spend time, maybe before it was to late. Then they sell it for $300k profit. Pretty good recovery story.
So adapted business plan, changed strategy and proved New Business Model works, even in a Pandemic.
Got M& B to audit 3 years financials,
started an Automotive classic car customization and restoration division and an Automotive New/ Used Cars and Auto Parts ecommerce business also during this time.
Purchased 4 lots of land, started the building of 1, to be finished in April.
Closed on financing to complete two of the other Properties.
I don't know about others, I've started several ventures some work, some don't. Could fail over something as simple as wrong timing.
With the obstacles the company has faced ,, I don't know how many start up companies you all built,, but I think Mr.T has made the best out of the situation and circumstances he faced. Maybe I'm dead wrong, but it doesn't feel that way. I think he is truly trying to build something here.
No one's perfect we all make mistakes. I don't see any of his being major enough for me to exit. But then again, Q1 and April are gunna be real. It's either gunna start happening and be scaling, or it gunna crumble and be failing.

No Change in Outstanding since September. THE only ones selling are weak hands. MMs are trying real hard to push this down... This is the stupid manipulation the OTC always deals with.. One good thing, a company puts out news of a $6.6m Apraisal Valuation and the closing of the construction loand to complete the final builds.and the stock heads south with zero increase in Outstanding shares,, think about that.
This smells of a massive shake out of weak hands. An Asset Appraisal giving 2 of the 4 properties a $6.6m valuation. $6.6m / 728,361,015 O/S

What do shares issued back in 2019 have to do with today? I seriously doubt that note holder converted shares back in 2019, and is now dumping them..
They were issued restricted and looks like the legend was removed the same day or so.
Those shares were sold back in 2019 imo. don't know what that has to do with today.
The aged debt that was Convertable is gone from what I see in the fins.and most the new notes are not Convertable. Everyone, can say what they would do, or what a CEO should do, but none of us are there working the day to day operations, CEOs have to make decisions based on circumstances at that time. Keeping the company moving forward and growing it, is what a CEO should be focused on. Not the day to day share price.. If this CEO executes these 4 properties, this company could well be on its way to $100m plus. IMO. thats a big IF but we will see I guess. I don't understand why people invest in a company, when they don't seem to believe in it or in what the CEO can do or is doing.
I seriously doubt that the lender still has those shares from 2019. I don't see how that has any relevance as to today.

if they hedging the land towards the construction loans requirements, 20% 30% have no idea how the are financial construction loans...
At $1.8m to $1.9m All in, and $3.3m appraisal with $4.25 asking price.
I have no issue with dilution raising the cash to purchase a lot at around $400k from what I see.. if that $400k in land is the % requirement of the construction loan company. So, at $400k,, dilution builds $3.3m home appraised value. Thats a 8x , yes 8times the $..
Do the math,, period.. anyway you drive this company,,, its UNDERVALUED..

I don't believe any of that matters,,
If you look at the work they talk about doing, they are COMPLETE rebuilds. New/Rebuilt engines, drivetrains, brakes, chassis suspension, steering, interior. body work,, paint etc.. If you read the Camaro PRs, they basically are using just the body. They purchased a Roadster Shop Chassis, thats one of the best in the industry from what I was just reading . Nelson Racing Engine also, definitely a VERY well known name in the industry. Not sure about the Escalade build, but from prior PRs on vehicles, looks like they are frame off Restorations. The Camaro is a Full Rotisserie, (learned what a rotisserie was from Barrett Jackson ) ... lol. like I said not big into the cars, but I do really like the Roadrunner and the Camaro, they are kool cars, remind me of my childhood. So I don't see where showing a picture of a 2007 Escalade or to mention the miles would make any difference. Pictures of disassembling, and rebuilding process I do believe those kind of pics would help... and listing all of the new parts and changes being made..

If all 4 properties are the same or similar, and are appraised at $3.3m each, thats $13.2m appraised asset value. Even at fully diluted of 3 billion $13.2m/3b= .0044.
I would hate to see them do that, but to me that's a worst case cinereo.

A tenth of the appraisal value for these 4 properties. "UNDERVALUED "
I do believe these numbers show an Extremely Undervalued Company.
This doesn't account for any of their Automotive operations,, which I don't know much about, I'm here more for the real estate side of things. I would think there has to be some value there? or Not? Have no idea of its value. I know other companies trading in those specific Automotive sectors are doing well. So to me the Automotive side of things is just a bonus.

Somethings, I like about this particular OTC Company
Audited Financials, 728m O/S, Real Estate Assets with appraisal values.
Real Estate in one of the hottest sectors and locations in the ???? USA.
Construction Loans to complete builds. 3 Cars being built, (Roadrunner, Camaro, Escalade,)
all pretty kool cars IMO.
Automotive E-commerce, Auto Parts and Car sales. (a bonus)
I said it before, I'll say it again, they are going to still need to raise $. as long it isn't toxic, which that should hopefully be over, the company has a couple years of operations now. Most lenders won't touch a start up unless they are getting a massive discount.
If they file an S1 or something to help with the company's financial requirements to get the construction loans they need to grow. S1 still dilution, but at a much lower discount to market. As long as the dilution, equals Land Acquisitions and adds assets to the
balance sheet, it a lot better than the crazy discounts there has been.
If these builds are costing $1.8m or so from what their PRs have read, if they sell at appraisal value, which the Real Estate Market is Selling much higher, but even at appraisal value at $3.3m , that's $1.5m profit per property. If they sell for the $4.25m they have it listed for,
that's $2.45m profit per property!
If these numbers are achievable I don't have an issue with dilution for land Acquisitions along as it's only for 2022. they should be able to scale this thing throughout 2022 to have 8 to 10 properties in the works.. JMO.
After that they should be able to continue growth with the profits.
I guess we will see. ...

these are cookie cutter houses, they said that. and the still have a 4th property, if the land meets loan % requirements.. 4 properties at $3.3m appraisal value.... $4m value $ 16m

Thanks for the reply. I do believe their is a MASSIVE short position in this company, I know alot of people say that but the facts here are different. There has been no dilution in months. But it trades as if there is.
The fact MMs can short more shares than there are outstanding should not be happening. I had a calculation of there being over
2.41b shares short in this company.
The company only has 728m outstanding... Sure would be nice if the MMs truly had to cover and clear their books instead of flipping the fictitious shares between accounts.

Anyone familiar with CDEL, CSTI,& GTSM. Are they retail? CDEL & CSTI seem to have a lot of shares, Just curious, the share structure hasn't changed since beginning of September. so approximately 3 months of no dilution and CDEL /CTSI seem to always be on offer (always seem to have shares) If the company isn't issuing, no conversions. Where are these 2 MMs getting all their shares? Are they retail or do retail brokers route through them?.
