In order to increase the number of authorized shares of our common stock, we will need to amend the first paragraph of Article Four of our Articles of Incorporation. Currently, our Articles of Incorporation provide for the issuance of up to 100 million shares of common stock. The Board of Directors unanimously adopted a resolution proposing and declaring advisable that Article Four of our Articles of Incorporation be amended in order to increase the number of authorized shares of common stock to 500 million shares and recommending the adoption of the proposed amendment by our shareholders. If approved, the text of this amended first paragraph of Article Four would read as follows:
"The aggregate number of shares which the Corporation shall have the authority to issue is five hundred fifteen million shares (515,000,000), of which five hundred million shares (500,000,000) shall be designated as Common Stock, $.001 par value per share and fifteen million shares (15,000,000) shall be designated as Preferred Stock, $.01 par value per share."
If the shareholders approve this proposal, it will become effective upon filing of an amendment to the Articles of Incorporation with the Secretary of State of the State of Utah.
Approval of the proposed amendment requires the affirmative vote of shareholders holding a majority of the total voting power of the common stock. Abstentions and broker non-votes have the same effect as votes "against" the proposal. As a condition to the Mercatus loan agreement, each of the directors has agreed to vote his shares in favor of this proposal. As of the record date, our directors held 3,165,665 shares of common stock, which represents approximately 4.8% of our outstanding shares.
We recommend a vote AGAINST the proposal to amend Article IV of our Articles of Incorporation to increase our authorized common stock to 500 million shares.

Chip Firm Centillium Extends DSL's Reach

Chipmaker Centillium Communications Inc. (NasdaqNM:CTLM - News) is out to do something about the slower-than-expected adoption of DSL Internet services.
Companies provide digital subscriber line service over normal phone lines, with souped-up modems. It lets people hook up to the Net at speeds up to 20 times faster than the 54K-modem dial-up standard today.
But there's one big catch. To get DSL, users must be within 2.25 miles of a phone company's central office switch.
"One of the big problems to solve is how to make the service area larger," said Centillium Chief Executive Faraj Aalaei.
Centillium's answer is its Palladia 220 chip, rolled out late last month. It goes into devices such as DSL modems for personal computers. In May, Centillium came out with another chip, the Maximus. It goes into phone carriers' transmission gear.
Together the two chips double DSL's reach. They let people located as far as four miles from a DSL phone switch get DSL service.

With no setup fee, the only other investment is $70 to $100 to buy a power line modem, already available in electronics stores. Just plug the modem into the wall outlet and attack the Ethernet or USB connection to your computer. The service could be available within a year in Georgia, Maryland, New York, Ohio and Pennsylvania.
The power line concept appeals to service providers because the can easily add equipment to existing wire grids, instead of laying cable into new service areas. Another big fan is Michael Powell, chirman of the Federal Communications Commission, who sees it as a way to increase competition in the broadband market.
Skeptics worry that using power lines for Internet service on a large scale would interfere with other electrical devices, and cause system overload and power failures. But “the rewards are enormous if it works,” say Bill Blair of the Electric Power Research Institute.
Even if you don’t want Internet service, utilities may use the technology to read you meter remotely, determine if your power is out, and turn off your air conditioner during times of peack usage. – E.B.
