In our press release dated May 18, 2017, we stated that we had completed the necessary bridge financing and that our intention was to pay off the issued convertible notes in cash instead of allowing them to convert. We are now pleased to announce a settlement agreement with Luke Hoppel (holder of the first note coming due), for a cash payment in lieu of any conversion. The amount remains the same as stated in the original note, but will now be paid in 3 equal amounts on August 1st, 10th and 20th.

If so do you see a news feed showing they closed on the acquisition,but I cant find it on any other news source
I don't see any shares being issued any time in the near future for this. It's an employee incentive. From what I remember from previous Q/K filings, there has always been notes about an employee stock option plan but I don't remember seeing anything that showed shares being issued for it. And it looks like the old one expired.
So, no, I don't see any shares being locked up any time soon because I don't think there will be any shares given until the stock price goes much higher AND until certain milestones are met - like the employees that are given options meeting performance benchmarks AND "staying" with the company year after year (retention of star performers).

We are very busy with our activities in San Diego, Ensenada and El Rosario. Though we are still in the throes of the company’s move and setting up the offices in San Diego and Ensenada, we are already seeing the benefits of the closer proximity.
We are also very pleased to have Akio now on-board with the upcoming report filings. His experience and knowledge in relation to these responsibilities, will free up much of my time in future reporting periods.
