Lasershots reconfigurable rear projection 360 degree simulator is a great example of a simulator almost identicle to ours.
The word capable Dalby used entrigued me because all technology can be copied unless the technology belongs to someone. Anyone of us here is capable of designing/building a 360 degree immersive simulator. So why did he say this...
A patent on certain technology can make or beak a company... it would be great news if those patents were granted.

The marines have been developing the CACCTUS program for several years to intergrate themselves in multiple training enviroments. This program uses off the shelf products and to my knowlege the marines were going to use Cubics milo 2000 training system simulator as well as many other prime defense contractors.
It appears the cacctus program is now being installed at several locations throughout the united states this year. Was their any interest by the marines to utilize our superior training platform and integrate it into the program?
I don't know if we even have what they are looking for but i figured you might know a little about the program.

With nearly 30 years of experience in accounting, corporate finance, investment banking, and securities, David's breadth and depth of experience has already benefited our organization since coming on part-time last year, and it is my pleasure to share with you today that he is now our full-time chief financial officer.
We have had numerous projects that he has proved indispensable in handling. With the increasing complexity of our finances, stock issues, SEC filings and compliance, corporate streamlining, and cash flow forecasting, etc., someone of David's caliber has become not just desirable, but necessary.
I would also like to take this opportunity to update you on our progress. Even though it has been "quiet" over the past thirty days or so, the activity behind the scenes has been anything but.
First, and in my opinion most important, we are building product and getting it out the door. Late December and January saw us begin to build our more than $2.5 million in orders from last Fall, and we are moving the first wave of product out the door with several projects already being installed, in transit, and/or delivered and pending installation. We will announce each project as it comes successfully online.
Second, we have tentatively reached an agreement regarding the lawsuit with Jones & Cannon, and I am happy to report that in addition to negotiating what we feel to be a fair settlement, Kelly Jones has agreed to provide consultation services for us with specific initiatives to further move our company forward. We are very happy to have come to this preliminary agreement, and I believe this settlement will be in the best interest of this company and our shareholders.
Third, we have made progress with the IRS, through the assistance of our tax counsel, and they have released to us funds previously withheld from a government customer. Although I would not say we are "out of the woods" just yet, all signs from them indicate a willingness to give us the time to get caught up. This is extremely good news for the company.
Finally, back in late January we filed an SB2 with the SEC to register shares for Dutchess. We have heard back from the SEC; however, I do not know if they will require modification just yet, but this is the normal course of business with these filings, and I do not expect further Dutchess' penalties to be levied as a result. I expect to hear more in the coming days.
All of this progress is very good news for the company indeed as it allows us to focus on our primary objective, to build our orders, satisfy our growing customer base, and generate more orders. Incidentally, Q1 of 2006 was a very quiet and slow time for the company, maybe the slowest in our history. I am pleased to report that this quarter, in addition to the order by Southwest Georgia Technical College, we currently have strong sales pending that we expect to receive this quarter. Of course, I never "count the chickens before they're hatched" as these are not paper purchase orders -- just yet; but, the increase in sales activity between this year and this same time last year is very encouraging to me, and is why I felt compelled to share it with you now.

Does anyone recall a multi unit order to the marines being announced. I certainly don't but it has been largely delivered according to this filing....must be part of the lease agreement?

The Marines are Requesting 7 combat convoy simulators. Does anyone know if virtra can compete or bid for this rfp? Does our system meet these specs? Fats usually recieves the CCS contracts but it certainly would be nice if Virtra won.

I'm well aware of the patent process i have been threw it. My patent was rejected and my attorney and I debated if I should resubmit it.
Do you know if the patent applications were rejected and if so did virtra resubmit the appliation again with additions and or changes. I do read where the "hybrid authoring software" was added to the simulator application. Was their a reason for that?
As of today Virtra has no patents on their technology. Can you confirm this?

IMO...I'ts do or die. For all the people that are thinking of voting no I believe your making a big mistake. Virtra has no money, serious liabilities pending and they are waiting to collect while penalties accrue daily! The sooner we can clear ourselves of these problems the quicker this company can move forward. Virtra expects big orders soon and will need to tap in to those shares at a moments notice. If they have no shares to authorize than we have to issue another proxy... that will take time and could jeopordize the contract(s).
I agree With Sirfelix that a company with 500 million. a/s that has no debt and explosive growth in sales will have no problem increasing it's shareholder value.
We do not have time for another proxy!!!

The increase could have an anti-takeover effect, since the Board could issue additional shares (within the limits imposed by applicable law) in one or more transactions that could make a change in control or takeover of VirTra Systems more difficult. For example, additional shares could be issued to dilute the stock ownership or voting rights of persons seeking to obtain control of VirTra Systems. Similarly, the Board could issue additional shares to people allied with VirTra Systems’ management, making it more difficult to remove or replace members of VirTra Systems’ then current Board.
Maybe this is why they are issuing so many shares
participating preferred stock is rarely issued, but one way in which it is used is as a poison pill. In this case, current shareholders are issued stock that gives them the right to new common shares at a bargain price in the event of an unwanted takeover bid.
For example, suppose Company A issues participating preferred shares with a dividend rate of $1 per share. The preferred shares also carry a clause on extra dividends for participating preferred stock, which is triggered whenever the dividend for common shares exceeds that of the preferred shares.
If, during its current quarter, Company A announces that it will release a dividend of $1.05 per share for its common shares, the participating preferred shareholders will receive a total dividend of $1.05 per share ($1.00 + 0.05) as well.
I believe virtra systems has always been carefull with there shares and I firmly believe that trend will continue. There has to be a good reason for all these shares. Could this be the answer??

For them to authorize all of these shares at a pps of .10 it could adequate to roughly 40 million dollars "IF" issued. "IF" Virtra recieved a 23 million dollar order from the marines how much cash on hand would we need to build and deliver these units? I'm guesing about 9 million(40%) of it including parts, labor and training. that would be 1/4 of the newly authorized shares...they also want to proceed with acuisitions. hypothetically could they be authorizing all these shares because they don't know where the pps will be when all these activities take place? I'm not sure if my #'s are correct so please correct if I'm wrong

I don't think any of us will be suprised when they introduce 1 or 2 more merging companies besides altatron ems. General dalby has been touting his 5 point strategy to include follow on aquisitions. Dynalyst has been out of the picture since june and given them plenty of time to find new targets. I remember a while back they were interested in buying a virtual weapons company!! Can anyone else?

All rfp proposals and or contracts are catagorized, grouped or classified into areas of contract similarity. so the average contract size for 541511 "custom computer programming" is around 18 million dollars. I also know that a far12 increases the timetable for aquiring the contract money becouse it's a rfp under 25 million dollars. less burocratic bullshit. I believe this is the company changing deal and there will be future anouncements soon
