Republic Power Group Ltd (NASDAQ:RPGL) dropped 2.2% in premarket trading on Wednesday after the company revealed it has been notified by Nasdaq that it is out of compliance with the exchange’s listing standards due to a delayed annual filing.

The enterprise resource planning software provider said it received a letter from the Nasdaq Stock Market on November 21, 2025, informing the company that it failed to meet the requirement to timely file its Form 20-F for the fiscal year ended June 30, 2025.

Under Nasdaq rules, Republic Power now has 60 calendar days to submit a plan outlining how it will regain compliance. If the exchange accepts the proposal, the company could be granted an extension of up to 180 days from the original due date—potentially pushing the deadline to May 18, 2026.

The company said it expects to file the required plan within the allotted 60-day period. Republic Power added that the notice does not immediately affect the trading or listing status of its ordinary shares on the Nasdaq Capital Market.

The disclosure was made in accordance with Nasdaq Listing Rule 5810(b), which mandates timely announcement of any deficiency notifications received from the exchange.
