It is to dump more shares. the insiders ran dry and knew that to increase without a story would have killed the stock so they created a story. Just look at the dilution over the past 6 months to recognize this was a printing press operation. Over 1.5 billion diluted to friends and family and for what - a reverse merger into a "secret company" nobody can find?
