Ya, the way I read it is the new license basically terminates their license with Dethrone and ties their hands to dealing with any other sports performance drink. Not sure of the license agreement they originally had but assuming the chance of meeting the revenue goals was not there so,,,,, NEXT

I also particularly like the part of how if royalty payments are not made Throwdown can convert and sell shares quarterly.

Dethrone Royalty, Inc is the private company that produces the shirts and operates the Base Camps under Nick and Dan Swinmurn

Dethrone Royalty Holdings, Inc. is the publically traded vehicle (DRHC) that once was EXBS

And Dethrone Beverage Company (a Wholly owned subsidiary of Dethrone Royalty Holdings, Inc.)

I'm probably being redundant and not expressing anything you are not already aware of, but ...

We have also entered into an agreement with Dethrone Royalty, Inc. which:

Enables us to change our corporate name to Dethrone Royalty Holdings, Inc. (DRH), which we did in September 2012.

Have the right to match any offer that Dethrone Royalty, Inc. receives to be acquired.

Dethrone Royalty, Inc. and the Company will create links to each other’s websites.

Dethrone Royalty, Inc. will produce and distribute lines of shirts/clothing for each sports figure signed as endorsers by the Company and market the shirts through its normal distribution channels. The Company will receive commissions equal to 12.5% of the net sales generated by these shirts.

That LOI you referred to is interesting as I had hardly even recalled it and came across it again as I was tooling back through the filings. It did however come after the fact.

March 26, 2012 for all intents and purposes is when the original agreements, spin-off with Exclusive and the transfer of shares took place.

The LOI was on July 10, 2012 which would have changed the subsidiaries around and ...


Messrs. Holley and McBride will be responsible for the operations of the EXBS subsidiary, TO Sports Innovation, Inc., that will be introducing energy beverages to the marketplace in September, and Nick and Dan Swinmurn will be responsible for the operations of Dethrone.


Because it never was finalized it just reverted back to status quo, presumably, as there was never any other follow through on it.
