#37320 RE: Watts Watt #37309

I haven't really read LQMT's voting rights, but I've always felt that visser should have enough to influence the appointment of, at least, one board member. Watts, admittedly, I didn't read his anti-dilutive clause in detail. Any idea how it works? Has he even exercised the clause on the previous issuance to the pipe's to pay the debt? I guess I'm wondering if he has to pony up some cash to exercise his right. Hell, I'd think so...I need to read that stuff - just wondering if you knew. Thank you.

Yes, definitely. I assume there will also not be any rogue votes among the Insiders.

I noticed that Jack Chitiyat, Chityat Holdings or Atlantic Holdings were not noted in the leading shareholder section of the Proxy, but were in the 10K (below). Has he reduced shares, or spread them, do you think?

10K (no mention in Proxy)
(10) Includes:
(a) 3,873,325 shares of common stock, 2,354,762 shares issuable pursuant to currently exercisable warrants held of record by Atlantic Realty
Group, Inc. Mr. Chitayat has the power to direct the voting and disposition of such shares as the president and a sole shareholder of Atlantic
Realty Group, Inc.;
(b) 2,544,289 shares of common stock, 1,929,219 shares issuable pursuant to currently exercisable warrants held of record by Mr. Chitayat;
(c) 3,935,673 shares of common stock issuable pursuant to currently convertible Series-A Preferred Stock held of record by Chitayat Holdings
