Here is where your logic is flawed concerning the filing of the 10K. If the CFO and COO sold their shares knowing that there will be some negative news in the 10K, then they will be doing something illegally and I will be the first one to report them to the SEC. The only way they could sell their shares now is if the 10K filing will be neutral or positive.
