Yes, it pretty much shouted "SEC investigation" to me, too. What Di Norcia did should keep Earth Surfaces out of that.

But still... Why did he want to retain voting control? And why didn't he just write off the stock he agreed to buy? That makes no sense. In his place, I'd just have walked away.

As you say, CCAJ is a shell company. A shell company whose registration the SEC is likely to revoke. So it's of no value whatsoever to anyone.

what tony did but pulling out earth surfaces is he set it up that if they want to sue him ES is out of reach. If they sue him personally he will then bring all his evidence into the picture

If you review the documents submitted to otcmarkets.com, there's one by counsel of record (JK) post the Earth Surfaces' deal. Not going to spell it out but if you GOOG(le) him up, there's an old (and I mean OLD) NYTimes' story mentioning him (Diana Henriques) plus a fairly recent action by the USAO for Western District of NY.

In addition, there was a spam campaign by several promoters post the r/m including a website owened/controlled by RW (Dallas) who was already recently cited by the SEC in another action.

well let me answer that rumor for you -false...and i dont need to ask j.b that question cause i know for a fact that all the preferred shares were given to him by the original owner R.W
Jeff did not meet Otto by chance,he was put on the board cause Otto had no choice...
the only one HI-JACKING a shell is Tony's lawyers view that you can rescind a merger and than somehow keep the same board of directors that were changed after the merger to give you preferred shares..that might be the stupidest moves i have ever seen yet in writing in a press release..
there is a saying if you give a man a rope he will hang himself and there is a lot of that going on by people ..

what g.l did to Tony was disgusting and Tony should go after him for that..
but every move that Tony continues to make is dumber and dumber and dumber,he needs to take a step back and breathe cause he is doing such harm to himself.....
