actually, what happened is the Fallacaro was booted by MSE for failing to provide working capital to make the payroll payment of about $100,000, together with payroll taxes.

No warning

Just failed to pay it and MSE/Merdi didn't find out until AFTER the deadline was missed.

The MSE aquisition never closed

All the MSE/GTGP agreements have terminated
