#24568 RE: $Green$ #24566

If you are talking about unregisterd shares, YES they are resticted from open market trading. That was NOT what the post was about and I did say the OS and ownership, I reported was registered. So right or wrong is not the question. Apples & oranges are.

PS; did you know almost every OTC company management which is hauled before the SEC, is for selling unregistered shares on the open market? But thats another subject. The reliability of unregistered "Resticted" stock being used on the OTC.

The issuance by Smart-Tek Solutions Inc. of any Shares to Marketing Partner will be made in reliance on an exemption from the registration and prospectus filing requirements contained in Rule 506 of Regulation D.

This statement has nothing to do with this disclosure filing, the past 2 years! These are NOT Marketing Partner they are company management!

Ps; talking about reliability of unregisterd shares being sold on the OTC. Management crys the Regulation D loop hole when they are called before the SEC. Want to talk registered/un rules or resticted/preferred/convertible share funding. Be happy to. But this subject had noting to do with my post.

Regulation D Exemption;
