So danny boy says leave the selfish non performing BOD as it is. Let them continue to under perform and hand out lots of goodies to themselves.

On the other hand Heartland investors who have been shareholders for over 22 years and have just slightly more shares than Danny boys stated 3,000 shares say the exact opposite and want a new BOD that will spend more time working for shareholders and less time looking after greedy self interests.

THE QUESTION DOES ONE BELIEVE DANNY
OR HEARTLAND.

IMHO a high degree of company success makes the proposal a good one for shareholders!

Again, my objection to it is that it is premature since IDCC is way undervalued today relative to the true value of our IP.

However, IMHO it is very likely that a NOK arb win (IF they ever announce it) will be followed by a series of events--positive dominoes falling our way--which will result in IDCC being valued at or close to its real value--the value that many of us here see.

And at that point I think a declassified board and removal or weakening of the antitakeover provisions makes sense for shareholders.

I know that many dislike corb--but putting aside the personalities--if the scenario I outline above comes to be--a scenario I suspect you and I and many others agree about which is why we're long this stock--then what would your objections to the proposal be at that point?

Having researched the question it appears to me that Corp is essentially right about declassified boards and poision pills being bad for shareholder value by holding the share price down a significant percentage. My only objection was timing, I don't think the analysis applies to a company like IDCC at this time because it is so severely undervalued. Once we are fairly valued, I would support the proposal.

Danny Detail: Stockholder activism during the next 12 months is not going to be a significant factor in setting the stock price. The main determinants will be the outcome of the arbitration(s)and the Nokia and Lucent lawsuits; and, probably most important, the granting of new licenses. IMHO

Call me crazy but IMO I can't possibly see how that can have a positive effect on the stock price during the next twelve months and the negative drag on the stock could be considerable. "Shareholder activism" .. ain't it just grand?

Danny -- where of course this whole deal, in reality, has absolutely nothing to do with 'shareholder activism' -- there could hardly be a more completely vapid, empty and meaningless, indeed Orwellian, distraction and diversion of a concept to 'apply' to falsely label this situation (and to thus keep attention focused away from what's really going on here)

this whole deal is 100% about (facilitating/enabling/preparing the way for) a takeover of IDCC, via a proxy contest, that somebody hopes to be able to pull off before IDCC can get NOK and Samsung and MOT and all the rest signed up as paying licensees for what IDCC does already have across all the standards, and thus before IDCC can achieve a corresponding share price -- that's it, plain and simple; nothing more, nothing less

the next step will almost certainly be a campaign for the board, or failing the board for 'dissident' shareholders, to call/force the call of a special meeting of shareholders to vote on implementing the proposal, said special meeting presumably to be held before the end of this year -- where said next step will almost certainly begin sooner rather than later (if indeed it hasn't begun already)
