Loop .. Can't understand why you are giving Corp such a hard time. You are looking a gift horse in the mouth IMO. For as long as I can remember ethical attorneys like yourself have been trying to live down being lumped in with the "ambulance chasers" in your profession. Finally, the M&A folks are giving you attorneys a real run for the money when it comes to top spot in the ambulance chaser category. The best thing that ever happened for these guys and gals was the scandals of the late 90s. All they had to do was wait for the "throw the baby out with the bathwater" reactions and they would have all of the low lying fruit they would ever want to pick for their business.

Can anyone really wonder why Mr. Cohen is so attuned to the pronouncements of ISS and those companies who do not strictly follow same. Can anyone say "takeover candidates"?
