I am trying to stay out of this, but you leave no alternative.

Your reply:

1. Heartland-- An outright misrepresentation. They
consider each company on a case by case basis. They
generally follow the recommendations of management.

2. ISS-- More nonsense. In a post of yours trying to
explain away another misrepresentation, remember "without
exception", you claimed to get your info from an ISS
contact. Either you have a contact or not and you
would definitely know by now if the ISS endorsed your
proposal. In fact, we would have seen the endorsement
every 10 minutes in posts by you since its inception.

3. You did not make the cut-- The circumstantial
evidence overwelmingly points to no action on the part
of the ISS. The proxies have been out for some time
now without any action. Heartland posted their
disfavor in 2003 concerning the option issue far in advance. They remain silent as of right now. 2 above is a clear
indication that the ISS has not spoken directly regarding your
proposal.

4. You are playing childish games with your argument that you were responding concerning Marsala's report. He does not mention any of your laundry list in his report.

5. I asked Ronnie the question in the first place and
I am still awaiting his answer. I have answered his
questions all along including an admission that HC's
compensation does not fit on the chart with respect to
an outside director. I do believe that self governance
has set in at IDCC and HC is aware of same. I also believe maintaining HC on the board is proper at this time for the reasons I have expressed earlier.

I shall await Ronnie's reply.
