There is nothing to talk through at this point. When Matt issues the new shares then there will something to talk through. Right now it would only be speculation and that is not what I am gonna discuss.

I'm sorry, I think you've completely missed my point. I just want to talk it through, not be told how it doesn't matter, or can't be determined. The "Yes" vote matters because it will affect my holdings. It matters and it's quite real. But nobody wants to talk about the various outcomes. I find that alarming.

Very good point. The 10K gives a very good indication of what can be expected, actually.

Unless Matt pulls a rabbit out of his hat (or some other dark place), CBAI will most likely get diluted, based on their track record (and statements in the 10K)

FROM THE 10K:

Since inception , we have financed cash flow requirements through the issuance of common stock and warrants for cash, services and repayments on loans. As we expand our operational activities, we may continue to experience net negative cash flows from operations and we will be required to obtain additional financing to fund operations through equity offerings and borrowings to the extent necessary to provide working capital. Financing may not be available, and, if available, it may not be available on acceptable terms. Should we secure such financing, it could have a negative impact on our financial condition and our shareholders. The sale of debt would, among other things, adversely impact our balance sheet, increase our expenses and increase our cash flow requirements. The sale of equity could, among other things, result in dilution to our shareholders. If our cash flows from operations are significantly less than projected, then we would either need to cut back on our budgeted spending, look to outside sources for additional funding or a combination of the two. If we are unable to access sufficient funds when needed, obtain additional external funding or generate sufficient revenue from the sale of our products, we could be forced to curtail or possibly cease operations.



There is no indication from the company that this tactic will stop anytime soon.

Everyone will talk about how we're likely to crush the opposition, that's speculative, but we talk about it. Vote is real, ownership dwindles, that's real, but we don't talk about it. Why is that?

You see, the discussions are not truly "open" for the CBAI shareholders of all perspectives. They are guarded.

see that little (3)?
it means see the following note:
(3)Includes 290,905,144 currently exercisable options held by Mr. Schissler, and 5,568,920 shares and 22,962,625 options held by Stephanie Schissler, Mr. Schissler’s wife. Mr. Schissler disclaims beneficial ownership of the shares beneficially owned by his wife. Percentage calculation considers additional outstanding of the potential options listed herein.

309462823-290905144=18,557,679 actual SHARES HELD

that is why it was such a crock when he exercised 80,767,160 options,
sold off 2/3's of the shares,
and then told people he only sold about 5% of his HOLDINGS!
THE OPTIONS HE GETS FOR FREE!
THEY DON'T COST HIM ANYTHING UNTIL HE EXERCISES THEM!
(and I'd bet this latest exercise was a cashless exercise,
since he sold most of them off right away)
THEY ARE NOT SHARES HE ACTUALLY OWNS YET!
MATT HAS VERY LITTLE OF HIS OWN MONEY IN THE GAME!
What he DOES HAVE? A nice new house/car, and a very comfortable lifestyle!
...All courtesy of the CBAI shareholder that he promised to "reward".
I'm not feeling very "rewarded" at the moment!

Interesting how people talk about an individual retail investor having 50M shares...
PATHETIC that a random investor holds more shares than the CEO?
I guess that's just my opinion :)

so let me explain in one one time for the 100th time and the last time.
ownership stays the same after split.
% drops in correlation to, if and when ,the a/s is used to acquire other companies and grow the company.

YEA YEA I know pits. the acq. of ccemx is assumed to be dependant on the r/s and and restructuring.

so now we can MOVE ON RIGHT?
