Corp-Buyer: In my previous post I said I do not know what the February 28, 2005 RSU grants were for. However, I do know that when grants are issued , the number issued is not directly related to the vesting period terms. In fact according to the plan, for for all non-executives/officers, under the three year program cycle vesting will occur 25% at the end of years one and two, and 50% at the end of year three. For all executive/officer level participants, the RSUs granted in connection with each Program cycle will vest 100% at the end of each cycle.


"RSU grants in January and 2/28/05" - per Ronnie, if the 2005 RSU grants vest over 3 years, then the 2/28/05 grants are actually 1/3 the total, is this right?

Corp by my calculation Goldbeg for instance has received RSU's in 2005 of 23618 @ FMV Price of $22.10 + 4333 (2/28/05) @ FMV of $17.33 for a total value of RSU's equaling $597,008.

From the Long Term Compensation Program -- RSU awards are calculated based on the target percentage of base salary of an eligible participant divided by the Company’s closing share price on the date of the RSU award (i.e., April 1, 2004 for the initial Program cycle).

It appears he cannot receive more than 120% of his salary in RSU's -- was his salary approx. $500K which would mean the 2005 RSU bonuses should be over?
