Companies must be up-to-date in all their filings to use an S-8 registration. An S-8 was submitted in mid-2003 after the company was already delinquent in filing their 10K. This is one of the issues the SEC pointed out in their suspension notice. The company was free to use other registration types. I don't see any filed do you? They could also use an exemption to registration but which one if they did? Other than that they must meet Rule 144 resale restrictions.

As for the TA, they may have attorney opinion letters saying the stock is free-trading. If not, oh well it wouldn't be the first time a TA found itself in trouble.

Well, the stock in question--700 billion shares--was most definitely issued, wasn't it? It's part of the o/s now, and there are no documents of registration, far as anyone knows.

Furthermore, CMKX admits in its PR that much of the stock wasn't registered. As I've said, this happens all the time in the Pinkie world.

So what you and several others are actually implying is that Urban has instructed his T A to issue piles and piles of free trading shares to him and others in his entourage.

GUMP ABSOULTELY INCORRECT...
it is called 504 shares in which they get an attorneys opinion letter and issue them in states where it is still not illegal
to do 504 shares...
i know texas still has a loophole to accredited investors,do not know if colorodo still has it open and even what is called a piggyback registration via delaware...

all what happens is the attorneys letter with the registation for xxx amount of shares is issued to urban and than he can advise the transfer agent to issue certs to whomever he wants...

but the bottomline is a copy of this letter and shares sent out never is forwarded to any other agency and because it is a pink sheet and does not have any other filing requirements the information in these 504's are very private..

NOW SOMEONE SAYS OH THERE IS THE RUB..
maybe now someone gets a light in their head pop up and go,wow that is why they were having so many problems with choosing their transfer agent and switching so much..
during the heaviest volume i am sure they were overloading the transfer agent with 504 request and certs at the same time the t/a was getting thousand of calls and having to tell investors basically sorry at the companies request we are not allowed to tell you...
