Here is what I found:
SEC Rule 15c2-11 was designed to allow non-reporting public company's securities to be quoted on NASDAQ's Over-the-Counter Bulletin Board ("OTCBB") by filing certain required disclosures through a FINRA member Market Maker. To be eligible for a quotation of its securities, the company's market maker must file a Form 211 with FINRA and the company must have sufficient free trading stock in its public float to satisfy Rule 15c2-11.

Yes it could be the first step, From Jim B post;It looks like a perfect fit to me.

Unless for some reason Mike doesn't want to sell it. Minor stumbling block might be officers and directors only own about 61% of the stock, but there's less than 5 million outstanding, no preferreds, no cds etc. Clean as a whistle, very small debt.

But geez, total revs in 2008 $36,000, dropping to $7,600 in 2009 and I think Q1 2010 was under $500.

The motorcycle biz is basically doing diddly squat and heading downhill rapidly, at this rate it will be zero next year.

Fantastic job Rick-UK. I do recall a lot of conversation about the possibility of R/M into BMXD, and I do believe it could be a very likely possibility. I wonder how long it would take for all the filings and paperwork to reverse merge KATX into BMXD and how that would affect trading while the actual change-over process is going on? Meaning, would it take days to change everything over, or would we be trading KATX one day, and the next wake up to be trading BMXD/KATC? Yes, I realize all the filings and such take time to do, but I'm curious about the actual trading...would the TRADING be affected during the changeover?

That seems kinda curious, but also odd, unless they are up to something and want to stay Pink. Or could be they just don't want to spend their cash of filings and SOX compliance.

Hope you've had a great summer, I sure have and it's a long ways from over yet.
