We can only speculate, but I would assume buyout. CEO wants to liquidate his shares I am sure and wouldn't do it for a penny. I think there is a buyer lined up and a price in mind. They said the spin off was going to benefit ATNP investors.
Only guesses here, though we could possibly find out for sure tomorrow once the merger takes place. Obviosuly i think part of it was to ensure all the details were in line for the merger to grant the spin-off. Beyond that, a few people believe that there could be a buyout coming.
In the original PR discussing the spin-off, they said they were discussing a possible spin-off, merger, acquisition, and buyout. Half have happened thus far...
