Only guesses here, though we could possibly find out for sure tomorrow once the merger takes place. Obviosuly i think part of it was to ensure all the details were in line for the merger to grant the spin-off. Beyond that, a few people believe that there could be a buyout coming.
In the original PR discussing the spin-off, they said they were discussing a possible spin-off, merger, acquisition, and buyout.
