The company Also generally has to sign off on it which in many otc company they won't or will do it so you don't create massive price drop. I'm still holding 10.5 million shares since 2014 that I couldn't get a company to sign off on the shares were worth about 155K in 2021 but the ceo would give the company Attorney the go a head to sign off on them
That is kinda the reasoning for the 4a2 exemption as I understand it. Companies create fake debt situations or some are actually real debt situations but the end game is resale requirements no? Well it’s obviously more complex than that but ultimately that’s why they seek that exemption .
