Because what I stated was 100% correct. A lack of form 13G filed by Denner cant prove he hasnt sold. He cant even use the form.

Institutional investors can file a Schedule 13G if they acquired securities while doing normal business and they have no intention of influencing control of the issuer.



Think he qualifies as having no intention of influencing control of the issuer? He declared in his first filing years ago he seeks to influence control of the board.

The other exemptions aren't relevant to Denner either. So... He's an activist >5% and reports with 13D. He cant use 13G. MS used 13G because they were not an activist with their position.

Now... do you still claim he couldn't have sold because he hasnt filed a 13G?
