Wondering, are you suggesting that a company can announce a dividend, give them to shareholders (with a CUSIP NUMBER) but NEVER do the required steps to make them tradable?

Well, yes. They can and do.

NSAV was an SEC registrant at the time it announced the dividend payment on 24 April 2017. But in its announcement of the upcoming event, Tilton explained nothing about it, really. There was not registration rights agreement:

In mid-September, the company terminated its SEC registration:

It filed a few more 8-Ks, but eventually switched to making disclosure at OTC Markets. Tilton doesn't seem to have talked about the dividend again. So if he made no promises, you may be outta luck.
