Contrary to belief, but state rules require proxies to be sent out via USPS 20 days prior

They filed an 8K yesterday, with a time stamp of 23-Aug. So they made it just under the wire at 19 days.

It all fits my working hypothesis... there were posts on the PMCB forum a couple of weeks ago, where a SH or two were complaining about needing a SH meeting to fire the CEO. I strongly suspect the CEO suddenly realized they hadn't been following their own by-laws (e.g. a SH meeting required each yr with none ever having occurred), along with some Nevada laws. So Kenny my hero calls his SH meeting for a vote, required for what they intend to do - unleash various classes of preferred on the market, including a golden super duper voting class to be awarded to a couple of BOD members. The result coming out of the meeting is they will be compliant with Nevada law, and will have the SH structure they need to milk some more into their pockets. With controlling votes, and safe from SH wrath forever.

A slight thickening of the goo. Although PMCB gave notice in the required 20 days... SHs are complaining they haven't received the ballots to vote. Apparently that mailing is on a 14 day or less schedule.
