As you say, Utopya having controlling interest is NOT the same as a merger.

How do ANDI shareholders benefit by being controlled by Utopya ?
If Utopya makes money, it would not go to ANDI.

What is shown is Utopya Innovations, LLC, a private corporation, has controlling interest of ANDI. That isn’t the same as merging into it, which would be a separate action and cause the two companies to become one (and report financials together as one).
