As you say, Utopya having controlling interest is NOT the same as a merger.
How do ANDI shareholders benefit by being controlled by Utopya ? If Utopya makes money, it would not go to ANDI.

What is shown is Utopya Innovations, LLC, a private corporation, has controlling interest of ANDI. That isn’t the same as merging into it, which would be a separate action and cause the two companies to become one (and report financials together as one).

For those that don't get it, it means that people need to be more careful, and do good due diligence.
