Corp...do I think you have an agenda? Yup, we all do in some way. Do I think your agenda is M&A related? No, I'm not convinced of that. Do I think your last post of direct quotes from analysts is spot on? YES I do!

Mgt's compensation has been a real sore spot with me from the very beginning. While I no longer harp on it, I do start thinking about it when mgt starts excercising and selling their options when their performance starts to faulter. How long has it been since we signed another licensee?

Imo...HC or any other officer being on the compensation committee is a direct conflict of interest.

Let's look at your offer of proof for the above:

As for Tom Carpenter, during the "WM era", as recently as this month, he sharply criticised management's compensation excesses and lack of shareholder alignment as follows: "We believe the $150 million would have been better spent paying a $2.50 to $3.00 special dividend to shareholders. ..In our view, IDCC’s share repurchases have benefited shareholders little, instead recouping ground lost through generous past option grants." You can't get any more current than this month.

1. TC is still talking about the past. Notice that he did not say recent past.

2. TC's statement refers to a possible better use for the $150 million spent on buybacks NOT current compensation excesses.

3. TC is still "an" analyst not "some analysts" as you tried to slip by. What have our other covering analysts had to say recently about excessive compensation?

4. I hardly think this rises to the level of "sharp" criticism .. but then mere criticism ain't going to get your agenda done, now is it?

BTW, HC is #1 and he is really running the company. Regarding his qualifications, conflicts of interest, and compensation excesses, TC wrote in Sept. 2003 that "InterDigital’s current Chairman ....

ISS analyzed the "compensation system" at IDCC in depth in connection with the latest shareholder vote on management's request to shareholders for additional compensation (5M more ISO shares in 2003) and concluded the "compensation system" at IDCC is "excessive". ...... ISS's conclusion in 2003 was easily predicted ....

1. My granddaughter is a "leap year baby." We have an extra special party every leap year to celebrate her birthday in leap years. Maybe you use some kind of special calendar where 3 years equal one and 2003 is 2006.

And in spite of Heartland's recent critical comments they remain our largest shareholder.

Time for you to to find another dead carcass to circle. This one is so old it doesn't even smell anymore.
