Do you recall if any of the debt notes required the filings were kept current.

As I recall, the Kramer notes did. Probably they all did; it's a standard clause in nearly all financing agreements.

Yes, they do. That is a standard requirement of such toxic death spirals, as they need the companies to remain current in order to dump their stock into the market unfettered.

"Failure to Comply with the 1934 Act. So long as the Buyer beneficially owns the Note, the Company shall comply with the reporting requirements of the 1934 Act; and the Company shall continue to be subject to the reporting requirements of the 1934 Act"
