Snackman, Bigtim, AWK: Thank you!

Being a financial idiot, I was not sure what to make of all this. Being a techie, I know that the technology is sound and that Wave has a technological advantage. But then again, I though OS2 was superior to MS.

Snackman

"There are two requirements of compliance to be listed on the National market. They have to have a capitulation of 50 million dollars and they have to trade over $1.00."

First thing, Capitalization, not "capitulation"
Freudian slip,

cap·i·tal·i·za·tion (kăp'ĭ-tl-ĭ-zā'shən)
n.

The practice or act of capitalizing.
The sum that results from capitalizing.

The amounts and types of long-term financing used by a firm, including common stock, preferred stock, retained earnings, and long-term debt.
The total par value or stated value of no-par capital stock issues.

Also:

"Therefore, I can not see a 1:3 or a 1:4 reverse split, if it comes to that. A 1:3 and a 1:4 would put the capitalization under 50 million dollars and Wave would not be in compliance"

The capitalization doesn't change no matter which ratio of the reverse split is used. As long as the corresponding share price doesn't go down after Reverse Split, market cap remains the same.

MC = Market Cap

As is: 100 million shares @ $.80 = $80 million MC
1 for 2 50 million shares @ $1.60 = $80 million MC
1 for 3 33.33 million shares @ $2.40 = $80 million MC
1 for 4 25 million shares @ $3.20 = $80 million MC

"The houses and the institutions will be the buyers"

To believe this statement is naive.

To believe this is just a plan which, if approved, will not be implemented is naive.

Snackman, your logic is sound.I have a major investment on the line here as do many others waviods. If you BELIEVE in the trusted computing movement then you have got to go with this. With that said, I still don't like it but I remain Long and strong.

Dear Snackman,
10 dimes, 20 nickles, 4 quarters or 100 pennies still add up to a dollar! The valuation is all that matters. 108 million shares @ $.75 or 54 million shares @ $1.50 still values the company at approx. 80 million dollars. If we need to do another shelf placement we must stay on the natioal Nasdaq market. Ultimately, Wave will need to split the stock several times in the years to come when earnings kick in & institutions start to really pound the stock with buy orders! I will vote in favor of the reverse split & urge all my friends to do the same!!! Carl.

I don't believe any of this. This has been a fool's ride for nearly a decade and I am a fool. The BS that gets spewed here over the years is incredible. "IT'S THE MM'S FAULT" "DON'T PUT STOPS IN, THE SP IS MANIPULATED AND THEY WILL JUST WALK IT DOWN TO TAKE THEM OUT" "BEING ON THE CAPITAL MARKET WON'T CHANGE ANYTHING" and finally "NOTHING HAS CHANGED."

Well our luck has finally run out. It's over. I see the reverse split as cutting this investment by 1/2, 2/3, or 3/4 as the share priced settles down to where it was prior to the split. That's the way it works..psycological or otherwise.

The fat lady is on the hill and she's holding a microphone.

UNBELIEVABLE!!! I've been on vacation since Thursday and this news has ruined my short vacation.

To all:

Here is the problem with a reverse stock split:

If they do a 1 for 3 or 1 for 4 reverse, the stock is going to have alot more room for the shorters. The shorters will smell the blood and attack. The stock will fall under enormous pressure and drop.

At that point, the stock may not meet the capitalization requirements and again not meet NASDAQ listing requirements. I've seen this before in other stocks. Not one of the ones that I've seen it in surrived.

I think this split is the worse thing that Wave could do.

If they need to raise funds, do it now while they are still listed. Raise $9 million instead of $4 million. That should be enough money to get them through based on the predictions by the longs.

I firmly believe that this reverse will mark the beginning of the end for Wave.

Many of you have said before, what's the big deal if Wave is delisted. If Wave is really going to survive, raise the money now, accept the delisting and in 6 months apply again when all the money starts to flow in.

The only reason I can think of as to why management doesn't do that is that they don't see significant revenue in that time frame and $9 million isn't enought to survive.
