BTOS assets only are being sold to a third party.

The point is that the money from the sale of these assets will be going to BLVT via BTOS. You previously suggested all the money from the sale is going to Bowman.

you said:

1.) BTOS is being sold to a third party, - just the assets are being sold. The legal entity is not.

2.) LC Bowman, will not be part of BLVT anymore if sale is closed. - Bowman has never been part of BLVT. Assets will be sold to Bowman. Bowman likely will keep operations going and fulfill orders of contracts which BLVT and/or BTOS may or will receive in the future. BLVT will also act as agent for contracts, getting commissions, for work to be completed at the Bowman facility (old BTOS facility, which is one in the same), and for work completed elsewhere.

3.) BLVT wants to move on without having the burden of a real business. - actually BLVT wants to move on without the overhead and debt creation and physical limitations of running an assembly company, yet still benefit from the tremendously low overhead and costs of being a commissioning agent.

4.) one of the most distorted, and mangled readings of disclosures I've seen lately. - just hold up the mirror buddy.

If Company is discharging its ownership in and of BTOS, it has not been stated.

Mayo facility looks like will still be up and running. Won't have the BTOS name, however (as it is owned by BLVT).

14-C
"Business after the Sale
Following the sale of the assets, the Company plans to engage in the following business areas...
Commission marketing for Buyer of a range of ammunition products to the U.S. Government which can be produced by Buyer using the assets sold at the Mayo facility."

"On August 17, 2012, the Company’s wholly owned subsidiary, Bulova Technologies Ordnance Systems LLC, entered into an Asset Purchase Agreement."

"On August 17, 2012 the Board of Directors (the “Board”) of the Company recommended the sale of substantially all of the assets of BTOS..." Does not say sale of BTOS, just assets of BTOS.

"the Company authorized the sale by BTOS"

"to relieve BTOS..."

"The Company conducts its business operations through two wholly-owned subsidiaries, Bulova Technologies Ordnance Systems LLC (“BTOS”) and Bulova Technologies (Europe) LLC (“BT Europe”)."
