badgerkid: could you pleas point out what statements made by the company would open it "up to major shareholder litigation if the process was proceeding poorly and the Board was aware of that."

The original announcement and today's statement contain identical wording that "In making the announcement, InterDigital stated that there can be no assurance that this strategic review process will result in a transaction." The company gave no further details as to how the process was going along. Just because board posters come up with their own ideas of what might be happening, it is no liability of the company if what they posted does not come about.
