Gotcha. I agree with your statements. The SEC might have a different opinion on the matter depending on events that may or not unfold in the future, especially the way the proxy and the conference call were haphazardly released.

There are still many shareholders that have not received their proxy (myself included), and many more that don't even know the conference call happened. This is simply poor execution at best, shady at worst.

Interesting article on how Gander went private. Ironically, it all started with a Reverse Split to take out shareholders.
