Easy-the 8-k's show no such thing, nor did the TA make the statement you attribute to them.

Furthermore, control of a Nevada corporation is moot, since only private actions can be used to enforce their securities laws. Management is afforded broad latitude, and can pretty much do whatever the hell they want to do.



There are no stupid questions. But damn, there are a lot of stupid questioners!
