I can't answer for Corp are anyone else but I am not looking for a proxy battle, but the real question is why so excessive and shouldn't pay for performance be somewhat governed by the shareholders vote. If Management comes thru and accomplish some major feats they would not have to fight, beg, or even back door shareholders with awarding themselvels stock options. I truly believe the majority of shareholders and equity fund managers would vote a resounding yes to a generous compensation award if managment actually completes a major task before rewarding themselves. There is a continued mistrust when management develops a work around to shareholders wishes to stuff there pockets. I even go one further to say reward them for a hard fought battle regardless of a defeat or win, but do you think are believe it is ethical what management have awarded themselves before knowing who won the battle. What is to be expected beyond what they have already awarded themselves if they successfully conclude Nok, Sam, and Lu, a 100M dollar comp package.
