If someone says No, period - doesn't that mean they will vote No regardless of what happens between now and the meeting?

Meixatech said he will vote Yes if there is a good deal announced, and otherwise won't vote. In the 2nd case, his failure to vote would cause his shares to be voted in favor of mgmt's proposal (I believe) - so his vote (or non-vote) ends up being a yes vote in either case - is that correct?
