They are not allowed to sell shares to the public across state lines without up to date SEC filings. If you want to try that game, good luck. The SEC filings are free. "Foriegn Corporation" filings cost money in every state. I think they save a bit of money by filing with the SEC.

It is not 1863. A honest person will follow the law, not scoff at it. He can sell those shares in Tumbleweed, Tombstone, and Tuscon, but not New York City.

Rule 15c2-11 says that a broker/dealer cannot enter a quotation without up to date financials. Those filings do not necessarily have to be at the SEC, but must be in the brokers hands. Reg FD says that anything available to a broker must also be available to the public.
