If by no regulation you refer to hard items such as the AS/OS numbers or an audit you'd be right however thats only a part of the problem. What the disclaimer does is allow say the CEO to say we are going to merge with a $50M company while being fully aware that it's a shell worse off then his. If somebody calls him out on it all he has to do is point to any number of these weasel words and "poof" he's off the hook.
