there's no "loophole" ... If a company announces it's paying a cash dividend, and you buy shares, wouldn't you expect to receive your dividend?
As far as problems, the biggest problem has been Nathan Drage, an apparently unscrupulous lawyer. I doubt real companies would want to conduct themselves in such manner...or even associate with such a person.
