I don't think the acquirer could go wrong just stating the facts in plain English (i.e. "We own 34.4% of the common stock in subsidiary XYZ")

Recently several excellent articles have addressed when Berkshire Hathaway can consolidate part of Occidental Petroleum's considerable 2022 profits. As I recall there are several tests, including intent to consolidate. The rules change occasionally, so be warned.
