Ahhhh.....but Wayne didn't say there is a purchase agreement in place. He states it was just an LOI....which in the pinkies means "we want you to buy worthless shares."

Had there been an agreement, he would have had to disclose the basic terms....including any R/S and/or other recapitalization or dilution events.

That said....yes, the 1-A is surprising if they were actually in the middle of negotiating those very terms.
