I was surprised to see the 1-A filing, given that there's a purchase agreement in place. And some of the monies raised are allocated to existing subsidiaries which I was under the impression wouldn't carry over to Tersus.

Further, since this is still Anderson's company and is preparing for a possible future without Tersus, his commentary on "Future Dilution" doesn't appear binding to Rosen.

You can lead a horse to water. But you can't make him get down on one knee and do an Al Jolson impression!
