I agree that's one item he's alleging in his complaint. That's why I said he should've gotten better legal advise before he accepted those unregistered shares.
SEC Rule 144 states since NSAV is not a reporting company, Noch's shares are subject to a 1 year hold before he can sell.
That oversight is clearly on Jake.
I agree with you about the divvy, while I don't have any, they were essentially worthless when they were issued but they aren't anymore so it would behoove those holders to get the restriction lifted.
And it is clearly on NSAV/JT to lift the restriction when a shareholder requests it...
